Terms of Service

These Master Terms of Service govern your access to and use of Kyttx, including the platform, website, applications, checkout tools, hosted pages, storefronts, payment-related features, automation tools, analytics, customer management tools, content hosting, community features, communication tools, integrations, and related services.

01Introduction

These Master Terms of Service, together with any policies, schedules, agreements, addenda, product terms, order forms, guidelines, notices, or additional terms referenced herein or made available by Kyttx from time to time, form a legally binding agreement between you and Kyttx.

These Terms govern your access to and use of the Kyttx platform, website, applications, checkout tools, hosted pages, storefronts, payment-related features, automation tools, analytics, customer management tools, content hosting, community features, communication tools, integrations, and any other products, services, software, features, or functionality made available by or through Kyttx.

By accessing or using the Platform, creating an account, accepting these Terms, clicking a button indicating acceptance, purchasing from a Seller, creating a Seller account, joining a team account, acting as an Operator, accessing hosted content, or otherwise using any part of the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

02Definitions

For purposes of these Terms:

?Kyttx,? ?we,? ?us,? or ?our? means the person, company, entity, organization, successor, assignee, or operating entity that owns, operates, licenses, controls, or makes available the Kyttx Platform. Kyttx may later be incorporated, reorganized, transferred, assigned, licensed, operated through, or succeeded by a legal entity in the United Arab Emirates, Dubai, the Dubai International Financial Centre, or another jurisdiction. These Terms will apply to such successor, assignee, operating entity, or affiliated entity to the maximum extent permitted by law.

?Platform? means the Kyttx website, software, tools, dashboards, applications, hosted pages, storefronts, checkout infrastructure, payment-related features, automations, CRM features, analytics, forms, booking tools, communities, course or cohort hosting, file hosting, AI tools, communication tools, URL tools, affiliate-related tools, and any other services made available by Kyttx.

?User? means any person or entity that accesses or uses the Platform, including Sellers, Buyers, Customers, Members, Operators, team members, account administrators, visitors, and any other users.

?Seller? or ?Merchant? means a person or entity that creates, sells, offers, manages, hosts, delivers, or provides products, services, content, memberships, subscriptions, coaching, consulting, cohorts, communities, software access, downloads, events, calls, masterminds, agency services, done-for-you services, or other offerings through or in connection with the Platform.

?Buyer,? ?Customer,? or ?Member? means a person or entity that purchases, accesses, subscribes to, joins, receives, or uses an offering, product, service, membership, community, course, cohort, download, subscription, or other item made available by a Seller through or in connection with the Platform.

?Operator? means a person, agency, contractor, consultant, service provider, team member, or other third party that is invited, authorized, or permitted by a Seller to access, configure, manage, create, optimize, or operate any part of a Seller?s account, offers, storefronts, funnels, automations, pages, customer data, content, or related activities.

?Seller Offering? means any product, service, course, cohort, community, membership, subscription, download, file, software access, coaching program, consulting service, call, event, mastermind, done-for-you service, agency service, template, content, or other item offered, sold, hosted, delivered, promoted, or managed by a Seller.

?Seller Content? means any content, materials, files, videos, images, text, designs, landing pages, course materials, community posts, messages, templates, documents, automations, data, trademarks, logos, branding, marketing claims, descriptions, pricing information, refund policies, offer terms, or other materials uploaded, submitted, created, hosted, displayed, transmitted, or made available by or on behalf of a Seller.

?Buyer Data? means information relating to Buyers, Customers, or Members, including names, email addresses, purchase history, access status, account activity, communications, form submissions, analytics data, and other information processed through the Platform.

?Third-Party Payment Provider? means Stripe, Stripe Connect, banks, acquiring banks, card networks, payment processors, payment facilitators, payout providers, financial infrastructure providers, fraud prevention providers, identity verification providers, tax providers, or any other third-party provider involved in payments, payouts, settlement, verification, fraud checks, compliance, or related services.

?Fees? means platform fees, transaction fees, payout fees, withdrawal fees, instant withdrawal fees, processing fees, chargeback fees, dispute fees, refund fees, currency conversion fees, taxes, pass-through fees, third-party fees, administrative fees, or other charges that may apply to use of the Platform.

?Policies? means any additional terms, schedules, agreements, policies, guidelines, or documents referenced in these Terms or published by Kyttx, including the Seller Agreement, Buyer Terms, Operator Terms, Payment, Payout & Fee Schedule, Refund, Chargeback & Dispute Policy, Acceptable Use Policy, Content & Intellectual Property Policy, Privacy Policy, Cookie Policy, Data Processing Agreement, Arbitration & Dispute Resolution Agreement, and Sanctions, Restricted Countries & Compliance Policy.

03Scope of These Terms

These Terms apply to all Users of the Platform.

Additional terms may apply depending on how you use the Platform. For example:

  • Sellers are also subject to the Seller / Merchant Agreement.
  • Buyers, Customers, and Members are also subject to the Buyer / Member Terms.
  • Operators and agencies are also subject to the Operator / Agency Terms.
  • Payment-related activities are subject to the Payment, Payout & Fee Schedule.
  • Refunds, chargebacks, and disputes are subject to the Refund, Chargeback & Dispute Policy.
  • Platform usage restrictions are subject to the Acceptable Use Policy.
  • Content, copyright, trademark, and intellectual property matters are subject to the Content & Intellectual Property Policy.
  • Privacy and data matters are subject to the Privacy Policy, Cookie Policy, and Data Processing Agreement.
  • Arbitration and dispute resolution matters are subject to the Arbitration & Dispute Resolution Agreement.
  • Sanctions, restricted country, and compliance matters are subject to the Sanctions, Restricted Countries & Compliance Policy.

All such Policies are incorporated into these Terms by reference.

If there is a conflict between these Terms and a more specific Policy, the more specific Policy will control for the subject matter it covers, unless expressly stated otherwise.

04Platform Role

Kyttx provides software infrastructure, platform tools, hosted pages, account management tools, checkout-related tools, content hosting tools, automation tools, analytics tools, customer management tools, and related services that allow Sellers to create, manage, sell, host, deliver, and operate Seller Offerings.

Kyttx is not generally the creator, owner, seller, provider, employer, contractor, agent, representative, guarantor, broker, fiduciary, financial advisor, tax advisor, legal advisor, investment advisor, health provider, payment processor, bank, escrow provider, money transmitter, trustee, or insurer of any Seller, Buyer, Operator, or Seller Offering.

Unless expressly stated in writing by Kyttx, Kyttx is not a party to the contract between a Seller and a Buyer. The Seller is responsible for the Seller Offering, including its description, legality, delivery, performance, quality, claims, pricing, refund policy, tax treatment, customer support, and compliance with applicable laws.

Kyttx may provide tools that assist with checkout, access control, hosting, automation, communication, analytics, content delivery, and payment-related workflows. Providing such tools does not make Kyttx responsible for Seller Offerings, Seller Content, Seller claims, Buyer outcomes, refunds, chargebacks, tax obligations, or disputes between Sellers and Buyers.

Kyttx may, at its discretion, review, monitor, remove, restrict, suspend, or terminate access to accounts, Seller Offerings, Seller Content, Buyers, Operators, transactions, payouts, or Platform features where Kyttx believes there may be legal, financial, operational, reputational, payment, fraud, chargeback, sanctions, security, compliance, or platform integrity risk.

05No Banking, Payment Processing, Escrow, or Financial Services

Payments, payouts, settlement, card processing, payment authorization, payment capture, transaction monitoring, dispute handling, chargeback processing, KYC, identity verification, financial compliance, banking, and related payment infrastructure may be provided by Third-Party Payment Providers.

Kyttx is not a bank, payment processor, payment facilitator, money transmitter, escrow provider, stored value provider, trustee, fiduciary, financial institution, financial advisor, or provider of regulated financial services.

Kyttx may use Stripe, Stripe Connect, banks, acquiring partners, payout providers, financial infrastructure providers, or other Third-Party Payment Providers. Kyttx may change, replace, add, remove, or modify Third-Party Payment Providers at any time, subject to applicable law and operational requirements.

By using payment-related features of the Platform, you authorize Kyttx and its Third-Party Payment Providers to process, route, facilitate, collect, deduct, reserve, delay, offset, reverse, refund, withhold, or settle amounts as necessary to operate the Platform, collect Fees, manage risk, satisfy legal requirements, address disputes, comply with payment partner rules, or enforce these Terms.

Kyttx does not guarantee that any payment, payout, transaction, withdrawal, settlement, instant payout, refund, or transfer will be approved, completed, settled, or made available by any specific time.

06Eligibility

You must be at least 18 years old to access or use the Platform.

By accessing or using the Platform, you represent and warrant that:

  • You are at least 18 years old.
  • You have the legal capacity to enter into these Terms.
  • You are not barred from using the Platform under applicable law.
  • You are not located in, organized under the laws of, ordinarily resident in, or acting on behalf of any country, region, person, or entity subject to sanctions, restrictions, or prohibitions that Kyttx determines are relevant.
  • Your use of the Platform will comply with all applicable laws, rules, regulations, payment partner requirements, and these Terms.
  • If you use the Platform on behalf of a company, business, organization, Seller, agency, or other entity, you have authority to bind that entity to these Terms.
  • All information you provide to Kyttx or its Third-Party Payment Providers is accurate, complete, current, and not misleading.

Sellers must use the Platform in connection with a business, trade, profession, commercial activity, or intended business activity. Even if a Seller is an individual, the Seller agrees that they are using the Platform for business or commercial purposes and not solely as a consumer.

07Account Registration

To access certain Platform features, you may need to create an account.

You agree to:

  • Provide accurate, complete, and current account information.
  • Keep your account information updated.
  • Maintain the confidentiality of your login credentials.
  • Prevent unauthorized access to your account.
  • Promptly notify Kyttx of any suspected unauthorized access, breach, or misuse.
  • Be responsible for all activity under your account, including activity by team members, Operators, contractors, agents, employees, or invited users.
  • Comply with any verification, security, or onboarding requirements requested by Kyttx or its Third-Party Payment Providers.

Kyttx may refuse, suspend, restrict, or terminate accounts at its discretion where Kyttx determines that an account creates or may create legal, financial, compliance, security, payment, fraud, chargeback, operational, reputational, or platform risk.

08Account Verification, KYC, and Compliance Information

Kyttx or its Third-Party Payment Providers may require Sellers, Operators, team members, or other Users to provide identity, business, tax, compliance, banking, ownership, control, address, transaction, or other information.

This may include information required for:

  • Identity verification.
  • Business verification.
  • Tax compliance.
  • Sanctions screening.
  • Fraud prevention.
  • Payment processing.
  • Payout eligibility.
  • Chargeback and dispute management.
  • Legal compliance.
  • Risk review.
  • Account security.
  • Payment partner requirements.

Kyttx may restrict, suspend, delay, freeze, disable, or terminate accounts, payouts, withdrawals, transactions, or access to Platform features if required information is missing, incomplete, inaccurate, outdated, suspicious, unverifiable, or not provided within the requested time.

You authorize Kyttx to share relevant information with Third-Party Payment Providers, compliance providers, tax providers, fraud prevention providers, legal advisors, service providers, and other parties where necessary to operate the Platform, comply with law, manage risk, or enforce these Terms.

09Sellers and Merchants

Sellers are solely responsible for their Seller Offerings, Seller Content, customer relationships, marketing claims, delivery obligations, refund policies, tax obligations, legal compliance, Buyer communications, and disputes with Buyers.

Without limiting the Seller / Merchant Agreement, each Seller represents and warrants that:

  • It has all rights, licenses, consents, permits, authorizations, and approvals necessary to offer, sell, host, deliver, market, and provide its Seller Offerings.
  • Its Seller Offerings and Seller Content are legal, truthful, accurate, non-misleading, and compliant with applicable laws.
  • It will not make false, deceptive, exaggerated, unlawful, or unsupported claims.
  • It will not offer illegal, fraudulent, misleading, restricted, or prohibited products or services.
  • It will clearly disclose its refund policy before purchase.
  • It will fulfill its obligations to Buyers.
  • It will provide reasonable support to Buyers.
  • It will be responsible for chargebacks, refunds, disputes, taxes, penalties, fees, and claims relating to its Seller Offerings.
  • It will be responsible for the acts and omissions of its team members, Operators, contractors, affiliates, employees, agents, service providers, and invited users.
  • It will not use the Platform to evade payment partner rules, legal obligations, refund obligations, tax obligations, sanctions, or compliance requirements.
  • It will comply with all Policies.

Kyttx may remove, restrict, suspend, or terminate any Seller Offering, Seller account, Seller Content, transaction, payout, or feature access at any time where Kyttx determines that doing so is necessary or appropriate.

10Buyers, Customers, and Members

Buyers purchase, access, or receive Seller Offerings from Sellers, not from Kyttx, unless Kyttx expressly states otherwise in writing.

Buyers understand and agree that:

  • Sellers are responsible for Seller Offerings.
  • Sellers control the description, pricing, delivery, refund policy, support, and performance of Seller Offerings.
  • Kyttx does not guarantee any Seller Offering, result, income claim, business outcome, educational outcome, financial result, customer result, health result, personal result, or other promised benefit.
  • Kyttx is not responsible for Seller conduct, Seller Content, Seller claims, Seller delivery, or Seller support.
  • Buyer disputes about Seller Offerings should first be directed to the relevant Seller.
  • Access to Seller Offerings may be suspended, revoked, or modified following refunds, chargebacks, payment failures, fraud concerns, violations of these Terms, or Seller instructions.
  • Kyttx may intervene in Buyer disputes at its discretion but has no obligation to do so unless required by applicable law.

Kyttx may remove or restrict Buyer access to Seller Offerings where Kyttx determines that such action is necessary or appropriate for fraud prevention, chargeback management, legal compliance, platform integrity, security, Seller request, or enforcement of these Terms.

11Operators, Agencies, and Team Members

Sellers may invite Operators, agencies, contractors, employees, service providers, or team members to access or manage certain aspects of their account.

Operators may be allowed to create, configure, edit, or manage offers, funnels, hosted pages, automations, customer workflows, content, analytics, or other Seller account features, depending on permissions enabled by the Seller or the Platform.

Unless expressly enabled by Kyttx, Operators may not change payout settings, banking details, ownership details, legal identity details, or other sensitive account settings.

Sellers are responsible for all activity conducted by Operators, agencies, contractors, employees, service providers, team members, and invited users under or in connection with the Seller?s account.

Operators are also independently responsible for their own acts, omissions, misconduct, violations of these Terms, misuse of data, unauthorized actions, infringement, fraud, misrepresentations, or unlawful activity.

Kyttx may remove, restrict, or suspend Operator access at any time, with or without notice, where Kyttx determines that such action is necessary or appropriate.

12Platform Features

The Platform may include, now or in the future, tools and features for:

  • Checkout.
  • Hosted storefronts.
  • Landing pages.
  • Course hosting.
  • Cohort hosting.
  • Communities.
  • Bookings and calendars.
  • Forms.
  • Automations.
  • Email.
  • SMS or other messaging.
  • Analytics.
  • CRM and customer management.
  • Custom URLs.
  • URL shortening.
  • Affiliate tracking.
  • File hosting.
  • AI-assisted tools.
  • Notes or written content.
  • Access management.
  • Payment-related workflows.
  • Webhooks, APIs, or integrations.
  • Seller dashboards.
  • Operator dashboards.
  • Other features Kyttx may make available.

Kyttx may add, remove, modify, replace, suspend, discontinue, rename, limit, or change any feature at any time.

Kyttx does not guarantee that any specific feature will always be available, uninterrupted, error-free, compatible, secure, or suitable for your intended use.

Kyttx may impose usage limits, rate limits, storage limits, transaction limits, payout limits, account limits, access limits, automation limits, communication limits, file limits, or other technical or operational restrictions.

13Availability and Service Changes

Kyttx aims to provide a reliable and high-quality Platform. However, Kyttx does not guarantee that the Platform will be available, uninterrupted, secure, error-free, bug-free, or compatible with all systems, devices, browsers, payment partners, or third-party services.

The Platform may be unavailable or limited due to maintenance, updates, outages, security issues, third-party failures, payment provider issues, network failures, force majeure events, legal restrictions, compliance reviews, or other reasons.

Kyttx may perform maintenance, upgrades, changes, migrations, or emergency fixes at any time.

Kyttx will not be liable for downtime, delays, data loss, lost revenue, lost profits, lost opportunities, business interruption, failed transactions, failed payouts, failed automations, access interruptions, or other losses arising from Platform unavailability or changes, except to the extent such liability cannot be excluded under applicable law.

14Payments, Payouts, Fees, and Third-Party Payment Providers

Payment and payout features may be provided through Third-Party Payment Providers, including Stripe and Stripe Connect.

By using payment-related features, you agree to comply with all applicable Third-Party Payment Provider terms, rules, policies, requirements, and procedures.

Kyttx may deduct or collect Fees from transactions, payouts, withdrawals, balances, Seller accounts, or other amounts processed through or in connection with the Platform.

Fees may include platform fees, transaction fees, withdrawal fees, instant payout fees, processing fees, payment partner fees, chargeback fees, dispute fees, refund fees, currency conversion fees, tax-related fees, administrative fees, compliance fees, or other charges described in the Payment, Payout & Fee Schedule.

Kyttx may change Fees from time to time. Unless otherwise required by law, Kyttx may provide notice of material Fee changes by posting an updated Fee Schedule, updating the Platform, sending notice, or using another reasonable method. Kyttx may make immediate Fee changes where required or appropriate due to legal requirements, payment partner requirements, fraud risk, chargeback risk, currency risk, tax requirements, compliance issues, or operational changes.

Sellers are responsible for all Fees, chargebacks, refunds, disputes, taxes, penalties, negative balances, payment partner fees, and other amounts arising from or related to their Seller Offerings, unless expressly stated otherwise by Kyttx.

Kyttx may instruct or authorize Third-Party Payment Providers to delay, freeze, reserve, restrict, reverse, offset, withhold, or recover amounts where Kyttx determines that such action is necessary or appropriate.

15Payout Delays, Reserves, Holds, and Offsets

Kyttx may, directly or through Third-Party Payment Providers, delay, restrict, suspend, freeze, reserve, offset, or withhold payouts, withdrawals, settlements, or balances where Kyttx determines that there is or may be:

  • Fraud risk.
  • Chargeback risk.
  • Refund risk.
  • Legal risk.
  • Compliance risk.
  • Tax risk.
  • Sanctions risk.
  • Payment partner risk.
  • Excessive disputes.
  • Suspicious transactions.
  • Misleading or prohibited Seller Offerings.
  • Failure to provide required information.
  • Negative balances.
  • Pending Buyer claims.
  • High-risk business activity.
  • Violation of these Terms.
  • Violation of payment partner rules.
  • Security concerns.
  • Account ownership concerns.
  • Other risk to Kyttx, Buyers, Sellers, payment partners, or the Platform.

Kyttx may require a reserve for a Seller account. A reserve may include a fixed amount, a percentage of transactions, a rolling reserve, a delayed payout period, or another reserve structure determined by Kyttx or a Third-Party Payment Provider.

Kyttx may use reserved, withheld, delayed, or future amounts to cover refunds, chargebacks, disputes, Fees, penalties, taxes, negative balances, payment partner assessments, legal costs, investigation costs, or other amounts owed by a Seller.

The existence of a reserve, hold, delay, or offset does not create any escrow, trust, fiduciary, banking, or deposit relationship between Kyttx and any User.

16Refunds, Chargebacks, and Buyer Disputes

Sellers are responsible for establishing, publishing, and honoring their own refund policies, subject to these Terms and applicable law.

Sellers must clearly disclose refund terms before purchase.

Kyttx may require refunds, reverse access, suspend access, or assist with refund-related actions where Kyttx determines that:

  • A Seller violated these Terms.
  • A Seller Offering was illegal, fraudulent, misleading, or prohibited.
  • A Buyer was charged incorrectly.
  • A transaction was unauthorized.
  • A payment partner, card network, bank, regulator, or legal authority requires action.
  • The Seller failed to deliver the Seller Offering.
  • The Seller?s refund policy was unclear, unlawful, or misleading.
  • Action is necessary to reduce legal, fraud, payment, chargeback, or platform risk.
  • Action is otherwise appropriate.

Sellers are responsible for chargebacks, disputes, payment reversals, refund costs, dispute evidence, chargeback fees, and related administrative costs connected to their Seller Offerings.

Kyttx may require Sellers to provide dispute evidence within a specified deadline. Failure to provide evidence may result in the dispute being accepted, funds being reversed, payouts being delayed, account access being restricted, or other enforcement action.

Sellers may not instruct Buyers to file chargebacks instead of honoring lawful or valid refund obligations.

Kyttx may suspend or terminate Sellers with excessive chargebacks, suspicious refund patterns, misleading offers, unresolved Buyer complaints, or payment partner issues.

17Seller Offerings and Prohibited Activities

Sellers may use the Platform for lawful, compliant, and permitted Seller Offerings, including coaching, consulting, cohorts, courses, communities, digital downloads, templates, SaaS access, done-for-you services, agency services, masterminds, events, calls, memberships, and subscriptions, subject to these Terms.

Kyttx may prohibit, restrict, review, or require approval for certain categories, including but not limited to:

  • Get-rich-quick schemes.
  • Deceptive income opportunities.
  • Unsupported earnings claims.
  • Gambling, betting, sports betting, or games of chance.
  • Adult content or sexually explicit services.
  • Pyramid schemes, Ponzi schemes, MLM schemes, or deceptive reselling schemes.
  • Illegal financial, investment, crypto, or trading advice.
  • Unapproved crypto trading groups.
  • Regulated financial products or services.
  • Health, medical, wellness, fitness, or appearance-related claims that are misleading, unsupported, or regulated.
  • Offers involving illegal goods or services.
  • Counterfeit goods.
  • Stolen content.
  • Hacking, malware, spam, phishing, or security abuse.
  • Sanctions-restricted activity.
  • Fake documents, fake identities, or fraudulent services.
  • Hate, harassment, exploitation, or abusive content.
  • Deceptive lead generation.
  • Unauthorized resale of third-party services.
  • Offers that create excessive chargeback, legal, reputational, or compliance risk.
  • Any other category identified in the Acceptable Use Policy or restricted by Kyttx.

Income claims, revenue claims, business opportunity claims, ?guarantees,? ?results,? case studies, testimonials, or performance claims must be truthful, substantiated, not misleading, and compliant with applicable law.

Sellers must clearly disclose that results are not guaranteed unless the Seller provides a lawful, clear, written, enforceable, and compliant guarantee.

Kyttx may remove or restrict any Seller Offering at any time.

18Marketing Claims and External Activity

Sellers are responsible for all claims, advertisements, promotions, sales pages, social media posts, affiliate claims, testimonials, guarantees, income claims, case studies, direct messages, emails, calls, webinars, videos, communities, and other marketing activity relating to their Seller Offerings, whether made on or off the Platform.

Sellers are responsible for ensuring that all marketing and sales activity is lawful, truthful, substantiated, not misleading, and compliant with applicable law.

Sellers are responsible for the conduct of their affiliates, contractors, Operators, agencies, employees, representatives, and other persons acting on their behalf.

Kyttx may take enforcement action based on off-platform conduct where Kyttx determines that such conduct relates to the Platform, Seller Offerings, Buyers, payments, disputes, legal risk, reputational risk, or platform integrity.

19AI, Automations, and Generated Content

The Platform may include AI-assisted tools, automation tools, templates, copy generation, landing page generation, workflow generation, recommendations, analytics, or other automated features.

You are solely responsible for reviewing, approving, editing, verifying, and legally clearing any output generated, suggested, automated, or assisted by the Platform.

Kyttx does not guarantee that AI-generated, automated, recommended, or suggested content will be accurate, lawful, non-infringing, suitable, compliant, complete, or appropriate for your intended use.

You may not rely on AI or automation outputs as legal, tax, financial, investment, medical, health, regulatory, or professional advice.

Sellers are responsible for ensuring that AI-generated or automated content used in Seller Offerings, marketing, communications, pages, emails, SMS, communities, or workflows complies with applicable law and these Terms.

20Communication Tools, Email, SMS, and Marketing Compliance

The Platform may allow Users to send emails, SMS messages, notifications, reminders, updates, or other communications.

Users are responsible for ensuring that all communications comply with applicable anti-spam, marketing, privacy, consumer protection, telecommunications, and consent laws.

Users must not send unlawful, deceptive, unsolicited, abusive, misleading, or non-compliant communications through or in connection with the Platform.

Users are responsible for obtaining all required consents, permissions, opt-ins, and legal bases for communications.

Kyttx may suspend, throttle, block, review, or terminate communication features for any User where Kyttx determines that communications create legal, technical, deliverability, spam, abuse, privacy, payment, or platform risk.

21Content Ownership and License

As between Kyttx and a Seller, the Seller retains ownership of Seller Content, subject to the rights granted in these Terms.

By uploading, creating, submitting, posting, hosting, transmitting, or making available Seller Content through the Platform, you grant Kyttx a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, transmit, display, perform, publish, modify, adapt, format, translate, distribute, and otherwise use such Seller Content as necessary or appropriate to:

  • Operate the Platform.
  • Provide services to Sellers, Buyers, Operators, and Users.
  • Process transactions.
  • Host Seller Offerings.
  • Provide access to Buyers.
  • Perform automations.
  • Provide support.
  • Troubleshoot issues.
  • Comply with law.
  • Enforce these Terms.
  • Prevent fraud or abuse.
  • Improve the Platform.
  • Exercise Kyttx?s rights under these Terms.

You represent and warrant that you have all rights necessary to grant this license.

Kyttx may remove, restrict, or disable access to content that Kyttx believes violates these Terms, infringes rights, creates risk, or is otherwise inappropriate.

22Buyer Access and Content Restrictions

Buyers may access Seller Offerings only as permitted by the Seller, Kyttx, and these Terms.

Buyers must not:

  • Share login credentials.
  • Copy, resell, leak, distribute, scrape, reproduce, or redistribute Seller Content.
  • Bypass access restrictions.
  • Download content unless expressly permitted.
  • Reverse engineer or misuse Platform features.
  • Harass Sellers, Buyers, Operators, or other Users.
  • Abuse refund or chargeback processes.
  • Access content after a refund, failed payment, chargeback, cancellation, or termination unless expressly permitted.
  • Violate intellectual property rights.
  • Use Seller Offerings or Platform content for unlawful purposes.

Kyttx may restrict or terminate Buyer access for violations of these Terms, Seller instructions, refund events, chargebacks, fraud concerns, payment failures, or other risk.

23Kyttx Intellectual Property

The Platform, including its software, design, code, interface, workflows, tools, systems, databases, trademarks, logos, branding, documentation, templates, infrastructure, and other materials, is owned by Kyttx or its licensors.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, scrape, reproduce, resell, sublicense, exploit, or create derivative works from the Platform or Kyttx intellectual property.

No rights are granted except as expressly stated in these Terms.

All rights not expressly granted are reserved by Kyttx.

24Feedback

If you provide feedback, ideas, suggestions, improvements, feature requests, bug reports, or recommendations to Kyttx, you grant Kyttx a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, modify, commercialize, incorporate, develop, publish, and exploit such feedback without restriction or compensation.

25Privacy and Data

Kyttx processes personal data as described in its Privacy Policy, Cookie Policy, and Data Processing Agreement.

By using the Platform, you agree that Kyttx may collect, use, store, process, disclose, transfer, and protect personal data as described in those documents.

Sellers are responsible for ensuring that they have a lawful basis to collect, process, upload, use, export, communicate with, and otherwise handle Buyer Data through the Platform.

Sellers are responsible for their own privacy notices, consent flows, marketing compliance, data export practices, and legal obligations to Buyers, except where Kyttx expressly assumes responsibility under applicable law or a written agreement.

Kyttx may use aggregated, anonymized, or de-identified data for analytics, product improvement, benchmarking, security, fraud prevention, and business purposes, provided such data does not identify a specific User where required by law.

26Data Export, Deletion, and Retention

Kyttx may provide tools that allow Users to export certain data, subject to technical availability, legal restrictions, privacy obligations, payment partner requirements, security limitations, and account status.

Kyttx may retain data as necessary to:

  • Operate the Platform.
  • Comply with law.
  • Resolve disputes.
  • Enforce agreements.
  • Prevent fraud.
  • Manage chargebacks.
  • Satisfy tax, accounting, or audit obligations.
  • Maintain security.
  • Support business operations.
  • Comply with payment partner requirements.
  • Protect Kyttx?s rights.

Kyttx may delete inactive accounts, expired content, terminated account content, suspended account content, or data no longer required, subject to applicable law and internal retention practices.

Kyttx is not responsible for maintaining permanent backups of Seller Content or Buyer Data. Users are responsible for maintaining independent backups where appropriate.

27Third-Party Services

The Platform may integrate with, link to, rely on, or allow access to third-party services, including payment processors, banks, hosting providers, analytics providers, email providers, SMS providers, tax providers, identity verification providers, fraud prevention providers, calendar tools, APIs, and other services.

Kyttx is not responsible for third-party services, third-party terms, third-party outages, third-party errors, third-party data practices, third-party fees, third-party decisions, third-party restrictions, or third-party failures.

Your use of third-party services may be subject to separate terms between you and the relevant third party.

Kyttx may change, remove, suspend, or replace third-party services at any time.

28Taxes

Sellers are solely responsible for determining, collecting, reporting, remitting, and complying with all taxes, duties, levies, VAT, sales taxes, goods and services taxes, withholding taxes, income taxes, digital services taxes, and other governmental charges related to their Seller Offerings, transactions, income, payouts, and business activities.

Kyttx may, where required or appropriate, collect tax information, business information, invoices, tax forms, VAT numbers, registration numbers, or other documentation from Sellers.

Kyttx may withhold, delay, restrict, or suspend payouts where tax or compliance information is missing, incomplete, inaccurate, suspicious, or required by law or payment partner rules.

Kyttx may issue invoices, receipts, tax documents, or transaction records where required or supported by the Platform, but Kyttx is not responsible for a Seller?s tax compliance unless expressly required by law.

29Sanctions and Restricted Countries

You may not use the Platform if you are located in, organized under the laws of, ordinarily resident in, or acting on behalf of a country, region, person, organization, or entity that is subject to sanctions, embargoes, restrictions, or prohibitions applicable to Kyttx, its payment partners, or its service providers.

Kyttx may restrict, block, suspend, or terminate access based on sanctions, restricted jurisdictions, payment partner rules, compliance reviews, legal requirements, or risk determinations.

Kyttx may refuse transactions, block payouts, restrict accounts, or require additional information where necessary or appropriate for sanctions, export control, anti-money laundering, counter-terrorist financing, fraud prevention, or compliance reasons.

30Security

You are responsible for securing your account, devices, credentials, API keys, integrations, team access, Operator access, and connected services.

You must not:

  • Access the Platform without authorization.
  • Test, scan, attack, overload, or disrupt the Platform.
  • Bypass security controls.
  • Use bots, scrapers, or automated tools without authorization.
  • Introduce malware, viruses, or harmful code.
  • Interfere with Platform operations.
  • Access data you are not authorized to access.
  • Abuse APIs, forms, automations, URLs, hosting, communication tools, or checkout features.
  • Misrepresent your identity.
  • Assist others in doing any of the above.

Kyttx may take any action it determines necessary to protect the Platform, Users, data, payments, payment partners, infrastructure, or security.

31Suspension and Termination

Kyttx may suspend, restrict, disable, terminate, or delete any account, Seller Offering, Buyer access, Operator access, payout, transaction, hosted content, feature access, or Platform use at any time, with or without notice, where Kyttx determines that:

  • You violated these Terms.
  • You violated any Policy.
  • You violated payment partner rules.
  • Your account creates legal, payment, fraud, chargeback, security, reputational, compliance, tax, operational, or platform risk.
  • Required information is missing or inaccurate.
  • Your activity is suspicious.
  • Your activity is unlawful or potentially unlawful.
  • Your Seller Offering is prohibited or high risk.
  • Your chargeback, refund, or dispute rate is excessive.
  • You misuse Platform features.
  • You fail to pay amounts owed.
  • You threaten or harm Kyttx, Users, payment partners, or third parties.
  • Your account is inactive.
  • Kyttx is required or advised to do so by law, payment partners, regulators, banks, courts, arbitrators, or service providers.
  • Kyttx otherwise determines that suspension or termination is necessary or appropriate.

Upon suspension or termination, Kyttx may revoke access, disable features, remove content, cancel transactions, restrict payouts, preserve records, notify affected Buyers, facilitate refunds, or take other action.

Termination does not release you from obligations incurred before termination, including payment obligations, refund obligations, chargeback obligations, indemnity obligations, tax obligations, confidentiality obligations, or dispute resolution obligations.

32Effect of Termination on Seller Content and Buyers

If a Seller account is terminated, suspended, or restricted, Kyttx may, at its discretion:

  • Disable hosted pages.
  • Disable checkout.
  • Restrict access to Seller Offerings.
  • Preserve or delete Seller Content.
  • Notify Buyers.
  • Assist with refunds.
  • Restrict payouts.
  • Preserve data for legal, payment, or compliance purposes.
  • Provide limited access for data export.
  • Remove Seller branding.
  • Cooperate with payment partners.
  • Take other action Kyttx determines appropriate.

Kyttx is not obligated to continue hosting Seller Offerings after account termination.

Kyttx may preserve records related to terminated accounts for legal, compliance, payment, dispute, tax, security, or enforcement purposes.

33Disclaimers

The Platform is provided on an ?as is? and ?as available? basis.

To the maximum extent permitted by law, Kyttx disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, uninterrupted operation, error-free operation, and suitability for any particular use.

Kyttx does not warrant or guarantee that:

  • The Platform will meet your requirements.
  • The Platform will be uninterrupted, secure, or error-free.
  • Seller Offerings will be lawful, accurate, useful, or delivered.
  • Sellers will fulfill obligations.
  • Buyers will pay, not dispute, or not charge back.
  • Payment partners will approve, process, or settle transactions.
  • Payouts will occur on a specific timeline.
  • Automations, AI tools, funnels, landing pages, or analytics will increase sales, revenue, conversions, or results.
  • Data will always be available or backed up.
  • Errors or defects will be corrected.
  • Any particular business, financial, educational, personal, or professional outcome will occur.

You use the Platform at your own risk.

34Limitation of Liability

To the maximum extent permitted by law, Kyttx and its owners, directors, officers, employees, contractors, agents, affiliates, licensors, service providers, and payment partners will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages, including lost profits, lost revenue, lost business, lost opportunities, lost goodwill, lost data, reputational harm, business interruption, failed transactions, failed payouts, chargebacks, refunds, or cost of substitute services, whether based on contract, tort, negligence, strict liability, statute, or any other legal theory, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Kyttx?s total liability for any claim arising out of or relating to the Platform, these Terms, any Seller Offering, any transaction, any payout, any account, or any dispute will not exceed the greater of:

  • USD $100.
  • The total platform fees actually paid to Kyttx by the claimant during the three months immediately preceding the event giving rise to the claim.

The limitations in this section apply to the maximum extent permitted by law, regardless of the form of action, legal theory, or whether any remedy fails of its essential purpose.

Some jurisdictions do not allow certain limitations of liability. In such cases, Kyttx?s liability will be limited to the maximum extent permitted by applicable law.

35Indemnification

You agree to defend, indemnify, and hold harmless Kyttx and its owners, directors, officers, employees, contractors, agents, affiliates, licensors, service providers, and payment partners from and against any claims, demands, disputes, losses, liabilities, damages, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • Your access to or use of the Platform.
  • Your violation of these Terms or any Policy.
  • Your Seller Offerings.
  • Your Seller Content.
  • Your marketing claims.
  • Your income claims, guarantees, testimonials, or case studies.
  • Your refund policy.
  • Your failure to deliver Seller Offerings.
  • Buyer disputes.
  • Chargebacks, refunds, reversals, disputes, or negative balances.
  • Taxes or tax compliance.
  • Payment partner fees, penalties, or assessments.
  • Your violation of law.
  • Your violation of third-party rights.
  • Your misuse of Buyer Data.
  • Your privacy or marketing compliance failures.
  • Your use of Operators, agencies, affiliates, contractors, employees, or team members.
  • Your negligence, fraud, willful misconduct, or misrepresentation.
  • Your prohibited or restricted activities.
  • Your breach of payment partner rules.
  • Any claim that Kyttx is responsible for your acts, omissions, content, offers, services, products, or obligations.

Kyttx may control the defense of any indemnified claim at your expense. You may not settle any claim without Kyttx?s prior written consent if the settlement imposes obligations on Kyttx, admits fault by Kyttx, or affects Kyttx?s rights.

36Release

To the maximum extent permitted by law, you release Kyttx from claims, demands, damages, losses, liabilities, and disputes arising out of or relating to:

  • Disputes between Sellers and Buyers.
  • Disputes between Sellers and Operators.
  • Disputes between Buyers and Operators.
  • Seller Offerings.
  • Seller Content.
  • Buyer reliance on Seller claims.
  • Refunds, chargebacks, or payment disputes.
  • Third-party payment provider decisions.
  • Third-party services.
  • Actions taken by team members, Operators, agencies, contractors, affiliates, or invited users.
  • Other User conduct.

37Confidentiality

You may receive access to non-public information relating to Kyttx, the Platform, Users, Sellers, Buyers, payment systems, pricing, security, product plans, technical systems, or business operations.

You agree not to disclose, misuse, copy, sell, exploit, or share confidential information except as authorized by Kyttx or required by law.

This section does not prevent lawful disclosures required by a court, regulator, or legal authority, provided that you give Kyttx prompt notice where legally permitted.

38Publicity

Unless you notify Kyttx otherwise in writing, Kyttx may use Seller names, business names, logos, trademarks, public profiles, public storefronts, and general descriptions of Seller use of the Platform for marketing, promotional, customer list, case study, and business development purposes.

Kyttx may use aggregated or anonymized performance, usage, or transaction data for analytics, benchmarking, product improvement, and marketing, provided such use does not identify confidential information where prohibited by law.

39Modifications to These Terms

Kyttx may modify these Terms or any Policy from time to time.

Kyttx may provide notice of material changes by posting updated terms on the Platform, updating the ?Last Updated? date, sending an email, displaying in-app notice, or using another reasonable method.

Changes are effective when posted or when otherwise stated.

Your continued use of the Platform after updated terms become effective constitutes acceptance of the updated terms.

If you do not agree to updated terms, you must stop using the Platform.

Kyttx may make immediate changes where required or appropriate due to legal requirements, payment partner requirements, security issues, fraud risk, compliance issues, operational changes, or urgent platform needs.

40Governing Law

These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, any account, any Seller Offering, any transaction, any payout, or any relationship with Kyttx, shall be governed by the laws of the Dubai International Financial Centre, to the maximum extent permitted by applicable law, without regard to conflict of law rules.

Where DIFC law cannot lawfully apply to a particular User, claim, transaction, or dispute, these Terms shall be governed by the law that Kyttx determines is most closely connected to the relevant operating entity, transaction, account, or legal requirement, subject to mandatory applicable law.

Nothing in these Terms limits mandatory rights that cannot lawfully be waived.

41Arbitration and Dispute Resolution

You and Kyttx agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, any account, any Seller Offering, any transaction, any payout, any suspension, any termination, any Fee, any refund, any chargeback, or any relationship with Kyttx shall be resolved in accordance with this section and the Arbitration & Dispute Resolution Agreement.

Before commencing arbitration, the party raising a dispute must provide written notice to the other party describing the dispute in reasonable detail. The parties will attempt in good faith to resolve the dispute informally for 30 days after notice is received.

If the dispute is not resolved within that period, the dispute shall be finally resolved by arbitration administered by the Dubai International Arbitration Centre under the DIAC Arbitration Rules then in effect.

Unless otherwise required by mandatory law:

  • The seat of arbitration shall be the Dubai International Financial Centre, Dubai, United Arab Emirates.
  • The language of arbitration shall be English.
  • The tribunal shall consist of one arbitrator.
  • The arbitration shall be confidential.
  • The parties shall not bring claims on a class, collective, consolidated, representative, or group basis.
  • The arbitrator may award costs and legal fees to the prevailing party where permitted.
  • Judgment on the award may be entered in any court of competent jurisdiction.
  • The arbitration award shall be final and binding.

Kyttx may seek urgent, interim, injunctive, equitable, or protective relief in any court of competent jurisdiction for matters involving intellectual property, fraud, security threats, platform abuse, confidentiality breaches, non-payment, chargebacks, data misuse, sanctions, illegal activity, or other urgent harm.

Nothing in this section prevents Kyttx from cooperating with law enforcement, regulators, payment partners, banks, card networks, tax authorities, or legal authorities.

Some Users may have mandatory legal rights that limit the enforceability of arbitration, class action waivers, governing law clauses, or venue clauses. In such cases, this section applies to the maximum extent permitted by law.

42Class Action Waiver

To the maximum extent permitted by law, you and Kyttx agree that any dispute will be brought only on an individual basis and not as a class, collective, consolidated, representative, mass, or group action.

No arbitrator or court may consolidate claims of multiple Users unless Kyttx agrees in writing or unless required by mandatory law.

If this class action waiver is found unenforceable for a particular claim, then that claim must be severed and resolved in a court of competent jurisdiction, while all other claims remain subject to arbitration to the maximum extent permitted by law.

43Notices

Kyttx may provide notices by email, in-app notification, posting on the Platform, account dashboard notice, or other reasonable method.

Notices are deemed received when sent, posted, or made available, unless applicable law requires otherwise.

You are responsible for keeping your account email address current.

44Electronic Communications and Signatures

You consent to receive communications electronically.

You agree that electronic agreements, notices, disclosures, acceptances, signatures, consents, and records satisfy any legal requirement that such communications be in writing, to the maximum extent permitted by law.

Clicking acceptance, creating an account, using the Platform, or continuing to use the Platform after notice of updated terms may constitute an electronic signature or acceptance.

45Assignment

You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without Kyttx?s prior written consent.

Kyttx may assign, transfer, delegate, license, or sublicense its rights and obligations under these Terms, in whole or in part, without your consent, including in connection with incorporation, reorganization, merger, acquisition, asset sale, financing, corporate restructuring, change of control, transfer to a Dubai or UAE entity, transfer to a DIFC entity, or operation through another legal entity.

These Terms bind and benefit the parties and their permitted successors and assigns.

46Force Majeure

Kyttx will not be liable for delay, failure, interruption, or non-performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, civil unrest, labor disputes, power failures, internet failures, hosting failures, cyberattacks, payment partner failures, banking failures, card network issues, regulatory action, legal restrictions, sanctions, epidemics, pandemics, supply chain issues, or other events beyond Kyttx?s reasonable control.

47Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision will be severed, and the remaining provisions will remain in full force and effect.

48No Waiver

Kyttx?s failure to enforce any provision of these Terms does not waive Kyttx?s right to enforce that provision or any other provision in the future.

Any waiver must be in writing and signed by Kyttx.

49Interpretation

Headings are for convenience only and do not affect interpretation.

Words such as ?including? mean ?including without limitation.?

References to laws, rules, regulations, payment partner requirements, or policies include any amendments, replacements, or successors.

Where these Terms give Kyttx discretion, Kyttx may exercise that discretion in good faith based on its assessment of legal, financial, operational, compliance, payment, security, fraud, reputational, or platform risk.

50Entire Agreement

These Terms, together with all Policies, schedules, agreements, addenda, notices, product terms, and documents incorporated by reference, constitute the entire agreement between you and Kyttx regarding the Platform and supersede all prior or contemporaneous agreements, understandings, communications, or representations relating to the Platform.

51Survival

Any provisions that by their nature should survive termination will survive, including provisions relating to Fees, payments, refunds, chargebacks, reserves, offsets, taxes, ownership, licenses, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, arbitration, data retention, enforcement, and compliance.
