This Agreement governs access to and use of Kyttx by Sellers, Merchants, creators, business owners, service providers, course providers, coaches, consultants, agencies, and anyone who creates, sells, hosts, manages, delivers, or monetizes products or services through Kyttx.

01Introduction
This Seller / Merchant Agreement governs your access to and use of Kyttx as a Seller, Merchant, vendor, creator, business owner, offer owner, service provider, course provider, cohort provider, community owner, consultant, coach, agency, software provider, or other person or entity that creates, sells, offers, hosts, manages, delivers, or monetizes products or services through or in connection with the Kyttx Platform.
This Agreement is incorporated into and forms part of the Kyttx Master Terms of Service.
By creating a Seller account, creating a storefront, creating a checkout page, uploading Seller Content, offering a Seller Offering, accepting payments, inviting team members or Operators, receiving payouts, or otherwise using the Platform as a Seller, you agree to this Agreement, the Master Terms of Service, and all applicable Kyttx Policies.
If you do not agree to this Agreement, you must not use the Platform as a Seller.
02Relationship to Other Terms
This Agreement applies in addition to the Kyttx Master Terms of Service.
You are also subject to, as applicable:
- The Kyttx Master Terms of Service.
- The Payment, Payout & Fee Schedule.
- The Refund, Chargeback & Dispute Policy.
- The Acceptable Use Policy.
- The Content & Intellectual Property Policy.
- The Privacy Policy.
- The Cookie Policy.
- The Data Processing Agreement.
- The Operator / Agency Terms.
- The Arbitration & Dispute Resolution Agreement.
- The Sanctions, Restricted Countries & Compliance Policy.
- Any Third-Party Payment Provider terms.
- Any additional policies, schedules, product terms, or notices published by Kyttx.
If there is a conflict between this Agreement and the Master Terms of Service, this Agreement will control for Seller-specific matters unless expressly stated otherwise.
03Definitions
Capitalized terms used but not defined in this Agreement have the meanings given in the Master Terms of Service.
For purposes of this Agreement:
?Seller? means any person or entity that creates, offers, sells, hosts, manages, delivers, promotes, or monetizes any Seller Offering through or in connection with Kyttx.
?Merchant? means the same as Seller.
?Seller Offering? means any product, service, coaching program, consulting service, cohort, course, community, membership, subscription, digital download, file, template, software access, call, event, mastermind, done-for-you service, agency service, or other offering made available by or on behalf of a Seller.
?Seller Content? means all content, materials, information, files, videos, images, designs, text, pages, automations, workflows, branding, logos, trademarks, pricing, claims, descriptions, terms, refund policies, sales materials, community posts, messages, and other materials uploaded, created, published, hosted, transmitted, or made available by or on behalf of a Seller.
?Buyer? means any person or entity that purchases, accesses, subscribes to, joins, receives, or uses a Seller Offering.
?Operator? means any person, agency, contractor, consultant, employee, team member, service provider, or third party invited or authorized by a Seller to access, configure, create, manage, optimize, or operate any part of the Seller?s account, offers, storefronts, funnels, automations, content, customer data, or related activity.
?Third-Party Payment Provider? means Stripe, Stripe Connect, banks, acquiring banks, card networks, payment processors, payout providers, financial infrastructure providers, fraud prevention providers, identity verification providers, tax providers, or other third-party providers involved in payments, payouts, settlement, verification, fraud checks, compliance, or related services.
04Seller Status and Commercial Use
You agree that you are using Kyttx as a business, professional, merchant, commercial operator, or person intending to operate a business.
Even if you are an individual, you agree that your Seller account is used for business or commercial purposes and not solely for personal, household, or consumer purposes.
You represent and warrant that:
- You are at least 18 years old.
- You have legal authority to enter into this Agreement.
- If you act on behalf of a company, business, organization, brand, agency, or other entity, you have authority to bind that entity.
- Your use of Kyttx as a Seller is lawful.
- You will comply with all applicable laws, regulations, rules, payment partner requirements, and Kyttx Policies.
- You will provide accurate, current, complete, and non-misleading information.
- You will not use Kyttx to commit fraud, mislead Buyers, avoid legal obligations, avoid tax obligations, evade payment partner rules, or violate third-party rights.
05Kyttx?s Role
Kyttx provides software tools, infrastructure, hosted pages, storefront tools, checkout-related tools, content hosting, automation tools, customer management tools, analytics, communications tools, access management, and related Platform features.
Kyttx is not the Seller of your Seller Offerings unless Kyttx expressly states otherwise in writing.
You are solely responsible for your Seller Offerings.
Kyttx is not responsible for:
- Your products or services.
- Your promises to Buyers.
- Your marketing claims.
- Your sales calls.
- Your off-platform conduct.
- Your affiliates.
- Your Operators.
- Your team members.
- Your refund policy.
- Your delivery obligations.
- Your Buyer support.
- Your tax obligations.
- Your legal compliance.
- Buyer disputes arising from your Seller Offerings.
- Chargebacks or refunds connected to your Seller Offerings.
- The accuracy, legality, quality, or performance of your Seller Offerings.
Kyttx may provide tools that assist with checkout, hosting, access, automation, analytics, and payment-related workflows. Those tools do not make Kyttx responsible for your Seller Offerings or your obligations to Buyers.
06Seller-Buyer Relationship
Unless Kyttx expressly states otherwise in writing, the contract for a Seller Offering is between you and the Buyer.
You are responsible for clearly explaining to Buyers:
- What they are buying.
- Who is selling it.
- What is included.
- What is not included.
- The price.
- Billing terms.
- Subscription terms.
- Cancellation terms.
- Refund terms.
- Access terms.
- Delivery timelines.
- Any limitations, conditions, or requirements.
You must not suggest that Kyttx guarantees, endorses, sponsors, certifies, verifies, or is responsible for your Seller Offering unless Kyttx has expressly authorized that statement in writing.
07Seller Account
You are responsible for all activity under your Seller account.
You must:
- Keep your account credentials secure.
- Keep your account information accurate and updated.
- Prevent unauthorized access.
- Promptly notify Kyttx of unauthorized access or suspected account compromise.
- Monitor your team members, Operators, and invited users.
- Ensure your account is used only for lawful and permitted purposes.
- Comply with Kyttx?s verification, security, payment, and compliance requirements.
Kyttx may suspend, restrict, or terminate your Seller account if Kyttx determines that your account creates or may create legal, payment, compliance, fraud, chargeback, security, operational, reputational, or platform risk.
08Business, Tax, and Identity Information
Kyttx or its Third-Party Payment Providers may require you to provide identity, business, tax, compliance, address, ownership, control, banking, transaction, or other information.
This may include:
- Legal name.
- Business name.
- Trade name.
- Email address.
- Phone number.
- Business address.
- Tax identification number.
- VAT or sales tax registration number.
- Ownership information.
- Beneficial owner information.
- Bank or payout information.
- Website or social profiles.
- Description of Seller Offerings.
- Transaction history.
- Refund and chargeback information.
- Documents or information required by Third-Party Payment Providers.
You authorize Kyttx to share relevant information with Third-Party Payment Providers, compliance providers, fraud prevention providers, tax providers, service providers, legal advisors, banks, card networks, regulators, and other parties where necessary to operate the Platform, manage risk, comply with law, or enforce this Agreement.
Kyttx may restrict, suspend, delay, freeze, or terminate your account, transactions, payouts, withdrawals, or Platform access if requested information is missing, incomplete, inaccurate, outdated, suspicious, unverifiable, or not provided on time.
09Payment Providers and Stripe Connect
Kyttx may use Stripe, Stripe Connect, banks, acquiring partners, card networks, payment processors, payout providers, financial infrastructure providers, and other Third-Party Payment Providers to support payment and payout features.
By using payment-related features, you agree to comply with all applicable Third-Party Payment Provider terms, requirements, procedures, and restrictions.
Kyttx is not a bank, payment processor, payment facilitator, money transmitter, escrow provider, stored value provider, trustee, fiduciary, or financial institution.
Payments and payouts may be processed, held, delayed, reviewed, blocked, reversed, offset, deducted, or restricted by Third-Party Payment Providers.
Kyttx does not guarantee that:
- Any transaction will be approved.
- Any Buyer payment will be successful.
- Any payout will occur by a specific time.
- Any Third-Party Payment Provider will support your account.
- Your Seller Offering will be eligible for payment processing.
- Your account will remain eligible for payouts.
- Any payment method will remain available.
Kyttx may change, add, remove, or replace Third-Party Payment Providers at any time.
10Fees
You are responsible for all Fees applicable to your use of Kyttx, your Seller Offerings, transactions, payouts, refunds, chargebacks, disputes, withdrawals, instant payouts, payment partner costs, currency conversion, taxes, administrative actions, and other paid features.
Fees may include:
- Platform fees.
- Transaction fees.
- Payment processing fees.
- Withdrawal fees.
- Instant withdrawal fees.
- Payout fees.
- Chargeback fees.
- Dispute fees.
- Refund fees.
- Failed payout fees.
- Currency conversion fees.
- Tax-related fees.
- Compliance review fees.
- Administrative fees.
- Pass-through third-party fees.
- Other fees described in the Payment, Payout & Fee Schedule.
Kyttx may deduct Fees from transactions, payouts, balances, future payouts, or other amounts processed through or in connection with the Platform.
Kyttx may change Fees from time to time. Unless otherwise required by law, Kyttx may provide notice of material changes by posting an updated Fee Schedule, updating the Platform, sending notice, or using another reasonable method.
Kyttx may make immediate Fee changes where required or appropriate due to legal requirements, tax requirements, payment partner requirements, card network changes, fraud risk, chargeback risk, currency risk, compliance issues, operational changes, or new or modified Platform features.
Your continued use of the Platform after Fee changes become effective constitutes acceptance of the updated Fees.
11Payouts
Subject to this Agreement, Third-Party Payment Provider requirements, risk controls, and applicable law, you may receive payouts for eligible transactions.
Payout timing may depend on:
- Payment method.
- Currency.
- Country.
- Third-Party Payment Provider requirements.
- Account verification status.
- Payout method.
- Fraud review.
- Chargeback risk.
- Refund risk.
- Legal or compliance review.
- Reserve requirements.
- Negative balances.
- Payment partner delays.
- Banking delays.
- Kyttx risk controls.
Kyttx does not guarantee payout timing.
You are responsible for ensuring your payout details are accurate and current.
Kyttx is not responsible for failed, delayed, misdirected, or rejected payouts caused by incorrect information, bank issues, payment provider issues, compliance reviews, or other factors outside Kyttx?s reasonable control.
12Payout Holds, Delays, Reserves, and Offsets
Kyttx may, directly or through Third-Party Payment Providers, delay, freeze, restrict, suspend, reserve, offset, reverse, or withhold payouts, withdrawals, settlements, or balances.
Kyttx may do this where Kyttx determines that there is or may be:
- Fraud risk.
- Chargeback risk.
- Refund risk.
- Buyer complaint risk.
- Legal risk.
- Tax risk.
- Sanctions risk.
- Payment partner risk.
- Excessive disputes.
- Suspicious activity.
- Misleading or prohibited Seller Offerings.
- Incomplete verification.
- Missing tax or business information.
- Negative balances.
- Pending Buyer claims.
- High-risk business activity.
- Violation of this Agreement.
- Violation of payment partner rules.
- Security concerns.
- Account ownership concerns.
- Regulatory concerns.
- Reputational risk to Kyttx.
- Other risk to Kyttx, Buyers, payment partners, or the Platform.
Kyttx may require a reserve. A reserve may include:
- A fixed reserve amount.
- A percentage of transaction volume.
- A rolling reserve.
- A delayed release period.
- A minimum balance.
- A risk-based payout schedule.
- A temporary hold.
- Any other reserve structure determined by Kyttx or a Third-Party Payment Provider.
Kyttx may use reserved, withheld, delayed, or future amounts to cover refunds, chargebacks, disputes, Fees, payment partner fees, penalties, taxes, negative balances, card network assessments, Buyer claims, legal costs, investigation costs, compliance costs, damages, or amounts owed to Kyttx.
No reserve, hold, delay, or offset creates an escrow, trust, fiduciary, banking, or deposit relationship.
13Negative Balances
If your account has a negative balance, you are responsible for paying the full amount immediately.
A negative balance may result from:
- Refunds.
- Chargebacks.
- Disputes.
- Failed payments.
- Payment reversals.
- Fees.
- Tax obligations.
- Penalties.
- Payment partner assessments.
- Buyer claims.
- Fraud.
- Account misuse.
- Other amounts owed.
Kyttx may recover negative balances by deducting from future transactions, deducting from future payouts, instructing Third-Party Payment Providers to debit connected accounts, charging payment methods on file, offsetting against amounts owed to you, requiring direct payment, using collections, or taking legal or arbitration action.
You agree to reimburse Kyttx for reasonable costs of collecting negative balances, including legal fees, collection fees, arbitration costs, and payment provider costs, to the extent permitted by law.
14Refund Policies
You are responsible for creating, publishing, and honoring a clear refund policy for each Seller Offering.
Your refund policy must be:
- Accurate.
- Clear.
- Accessible before purchase.
- Lawful.
- Not misleading.
- Consistent with your marketing claims.
- Consistent with your checkout terms.
- Compliant with consumer protection law where applicable.
- Compliant with payment partner rules.
- Consistent with Kyttx Policies.
You must not use hidden, unfair, deceptive, abusive, or impossible refund conditions.
You must not advertise a refund, guarantee, trial, cancellation right, or money-back promise unless you fully and lawfully honor it.
Kyttx may require you to modify, clarify, or remove a refund policy that Kyttx determines is unclear, misleading, unlawful, abusive, or risky.
15Platform-Initiated Refunds
Kyttx may require, initiate, facilitate, or instruct a refund or access removal where Kyttx determines that:
- You violated this Agreement.
- You violated Kyttx Policies.
- Your Seller Offering was illegal, fraudulent, misleading, or prohibited.
- The Buyer was charged incorrectly.
- The transaction was unauthorized.
- A payment partner, bank, card network, regulator, court, arbitrator, or legal authority requires action.
- You failed to deliver the Seller Offering.
- Your refund policy was unclear, unlawful, or misleading.
- Buyer complaints create legal, chargeback, or reputational risk.
- Your account creates excessive refund or dispute risk.
- Action is necessary to reduce fraud, payment, compliance, or platform risk.
You authorize Kyttx and its Third-Party Payment Providers to process or facilitate such refunds, reversals, deductions, or offsets.
You remain responsible for all refund amounts, chargeback amounts, Fees, payment partner costs, and related expenses.
16Chargebacks and Disputes
You are responsible for all chargebacks, disputes, reversals, retrieval requests, card network claims, bank claims, Buyer disputes, payment partner fees, and related costs arising from or related to your Seller Offerings.
You must provide dispute evidence within the deadline requested by Kyttx or a Third-Party Payment Provider.
Evidence may include:
- Proof of Buyer consent.
- Proof of purchase.
- Checkout records.
- Access logs.
- Delivery evidence.
- Communication records.
- Refund policy disclosure.
- Terms accepted by the Buyer.
- Signed agreements.
- Usage records.
- Call records, where lawful.
- Onboarding records.
- Fulfillment documentation.
- Other evidence requested by Kyttx or payment partners.
Failure to provide timely evidence may result in dispute loss, refund or reversal, deduction from payouts, payout holds, reserves, account restriction, suspension, or termination.
You must not instruct Buyers to file chargebacks instead of handling valid refund requests.
You must not manipulate, threaten, deceive, or pressure Buyers in connection with chargebacks or refunds.
17Excessive Chargebacks, Refunds, or Complaints
Kyttx may determine, in its discretion, that your account has excessive or abnormal levels of chargebacks, refunds, failed payments, disputes, Buyer complaints, fraud reports, refund abuse, negative reviews, suspicious activity, payment partner warnings, or high-risk transaction patterns.
If this occurs, Kyttx may require a reserve, delay payouts, freeze payouts, restrict payment methods, require additional verification, require changes to your Seller Offerings, require changes to your refund policy, require changes to your marketing, disable checkout, suspend your account, terminate your account, notify Buyers, cooperate with payment partners, or take other action Kyttx determines necessary.
18Seller Offerings
You may use Kyttx to offer lawful and permitted Seller Offerings, including:
- Coaching.
- Consulting.
- Cohorts.
- Courses.
- Digital downloads.
- Communities.
- Templates.
- Software access.
- Done-for-you services.
- Agency services.
- Masterminds.
- Events.
- Calls.
- Memberships.
- Subscriptions.
- Other offerings approved or supported by Kyttx.
Kyttx may approve, reject, restrict, remove, suspend, or require changes to any Seller Offering at any time.
You are responsible for ensuring each Seller Offering is lawful, accurate, deliverable, properly described, and compliant.
19Prohibited and Restricted Seller Offerings
You may not offer, sell, promote, host, or facilitate prohibited or restricted offerings through or in connection with Kyttx.
Prohibited or restricted offerings include:
- Scams.
- Fraud.
- Deceptive income opportunities.
- Get-rich-quick schemes.
- Unsupported earnings claims.
- Misleading business opportunities.
- Gambling.
- Betting.
- Sports betting.
- Games of chance.
- Adult content.
- Sexually explicit services.
- Pyramid schemes.
- Ponzi schemes.
- Deceptive MLM schemes.
- Unlawful reselling schemes.
- Illegal lead generation.
- Fake documents.
- Fake identities.
- Counterfeit goods.
- Stolen content.
- Illegal financial services.
- Unlicensed investment advice.
- Unapproved crypto trading groups.
- Regulated financial products without approval.
- Unlawful health, medical, wellness, appearance, or fitness claims.
- Illegal drugs.
- Weapons or restricted goods.
- Hate, harassment, exploitation, or abusive content.
- Hacking.
- Malware.
- Phishing.
- Spam tools.
- Sanctions-restricted activity.
- Products or services banned by payment partners.
- Offers that create excessive chargeback, legal, compliance, or reputational risk.
- Any other category Kyttx prohibits or restricts.
Some categories may be allowed only with prior written approval from Kyttx, including crypto-related education, trading-related education, finance-related education, wellness, fitness, looks, appearance, or health-adjacent services, high-ticket business coaching, income-related coaching, regulated or semi-regulated categories, or any category Kyttx determines to be high risk.
Approval may be revoked at any time.
20Income Claims, Guarantees, and Results
You must not make false, deceptive, exaggerated, unsupported, or misleading claims about income, revenue, profit, business results, fitness results, appearance results, health results, personal transformation, customer outcomes, or any other results.
If you make any claim involving results, you must have reliable evidence to support the claim.
You must clearly disclose that results are not guaranteed unless you provide a lawful, clear, written, and enforceable guarantee.
If you provide a guarantee, you must clearly disclose:
- What is guaranteed.
- What is not guaranteed.
- Who is eligible.
- Conditions.
- Deadlines.
- Required actions.
- Refund rights.
- Exclusions.
- How to claim the guarantee.
- Any other material terms.
You must not use fake testimonials, misleading testimonials, cherry-picked claims without proper context, fabricated case studies, misleading screenshots, false earnings screenshots, or claims that imply typical results when they are not typical.
Kyttx may require you to remove, edit, substantiate, or clarify claims at any time.
21Marketing and Off-Platform Conduct
You are responsible for all marketing, sales, and promotional activity related to your Seller Offerings, whether on or off Kyttx.
This includes:
- Landing pages.
- Websites.
- Social media.
- Ads.
- Direct messages.
- Sales calls.
- Webinars.
- Communities.
- Emails.
- SMS.
- Affiliates.
- Testimonials.
- Case studies.
- Guarantees.
- Claims made by Operators.
- Claims made by employees.
- Claims made by contractors.
- Claims made by agencies.
- Claims made by influencers or promoters.
Kyttx may take enforcement action based on off-platform conduct where Kyttx determines that such conduct creates legal, payment, reputational, chargeback, Buyer, or platform risk.
22Affiliates, Promoters, and Referrers
If you use affiliates, promoters, influencers, referrers, sales representatives, agencies, or other third parties to market or sell your Seller Offerings, you are responsible for their conduct.
You must ensure they:
- Make truthful claims.
- Disclose material relationships where required.
- Comply with advertising laws.
- Comply with consumer protection laws.
- Do not make misleading income claims.
- Do not misrepresent Kyttx.
- Do not spam.
- Do not misuse Buyer Data.
- Do not violate Kyttx Policies.
- Do not create legal, payment, or reputational risk.
Kyttx may restrict, suspend, or terminate your account based on affiliate, promoter, or representative misconduct.
23Operators and Team Members
You may invite Operators, agencies, contractors, employees, service providers, or team members to access your Seller account if supported by the Platform.
You are responsible for:
- Choosing Operators carefully.
- Granting appropriate permissions.
- Monitoring Operator activity.
- Revoking access when no longer needed.
- Ensuring Operators comply with this Agreement.
- Ensuring Operators comply with privacy and data laws.
- Ensuring Operators do not misuse Buyer Data.
- Ensuring Operators do not make unauthorized changes.
- Ensuring Operators do not make misleading claims.
- All actions and omissions of Operators.
Operators may also be directly liable to Kyttx under the Operator / Agency Terms.
Unless expressly enabled by Kyttx, Operators may not change payout settings, banking details, legal identity information, ownership information, or sensitive compliance information.
Kyttx may remove, restrict, suspend, or terminate Operator access at any time.
24Buyer Data and Privacy
You may receive or access Buyer Data through the Platform.
You must handle Buyer Data lawfully, securely, and only for legitimate purposes related to your Seller Offerings.
You must not:
- Sell Buyer Data.
- Misuse Buyer Data.
- Export Buyer Data where prohibited.
- Share Buyer Data without legal authority.
- Use Buyer Data for unrelated marketing without proper consent.
- Spam Buyers.
- Contact Buyers in violation of law.
- Disclose Buyer Data to unauthorized persons.
- Use Buyer Data after account termination except where legally permitted.
- Violate the Privacy Policy or Data Processing Agreement.
You are responsible for your own privacy notices, consent flows, marketing compliance, data handling, and legal obligations to Buyers unless Kyttx expressly assumes responsibility in writing.
Kyttx may restrict your access to Buyer Data where necessary for privacy, security, legal, compliance, or platform reasons.
25Email, SMS, and Communications
If you use Kyttx communication tools, you are responsible for ensuring your communications are lawful and compliant.
You must:
- Obtain required consents.
- Honor unsubscribe requests.
- Comply with anti-spam laws.
- Comply with marketing laws.
- Comply with telecommunications laws.
- Avoid deceptive subject lines or sender names.
- Avoid misleading messages.
- Avoid harassment.
- Avoid abusive communication.
- Avoid unlawful automated messaging.
Kyttx may throttle, suspend, review, block, or terminate communication features if your use creates deliverability, legal, spam, abuse, privacy, technical, or platform risk.
26Seller Content
You retain ownership of your Seller Content, subject to the license granted to Kyttx in this Agreement and the Master Terms of Service.
You grant Kyttx a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, transmit, display, perform, publish, modify, adapt, format, translate, distribute, and otherwise use Seller Content as necessary or appropriate to:
- Operate the Platform.
- Provide services.
- Host Seller Offerings.
- Display storefronts and pages.
- Provide Buyer access.
- Process transactions.
- Perform automations.
- Provide analytics.
- Provide support.
- Troubleshoot issues.
- Comply with law.
- Enforce agreements.
- Prevent fraud.
- Manage disputes.
- Improve the Platform.
- Exercise Kyttx?s rights.
You represent and warrant that:
- You own or have rights to Seller Content.
- Seller Content does not infringe third-party rights.
- Seller Content is lawful.
- Seller Content is not misleading.
- Seller Content does not violate Kyttx Policies.
- You have all permissions needed to grant Kyttx the license above.
Kyttx may remove, restrict, or disable access to Seller Content at any time where Kyttx determines that it violates this Agreement, creates risk, or is otherwise inappropriate.
27Intellectual Property Complaints
You are responsible for ensuring your Seller Content and Seller Offerings do not infringe copyright, trademark, publicity rights, privacy rights, trade secrets, or other third-party rights.
Kyttx may remove or restrict content in response to copyright, trademark, or intellectual property complaints.
Kyttx may terminate repeat infringers.
You agree to cooperate with Kyttx in resolving intellectual property complaints.
If your Seller Content is removed due to a complaint, Kyttx is not liable for resulting losses, including lost sales, lost access, lost revenue, Buyer complaints, or reputational harm.
28Use of Kyttx Branding
You may not use Kyttx?s name, logo, trademarks, branding, screenshots, platform interface, or marketing materials in a way that suggests endorsement, partnership, certification, guarantee, or responsibility by Kyttx unless Kyttx has expressly approved such use in writing.
You may accurately state that you use Kyttx to host, manage, sell, or deliver your Seller Offering, provided the statement is truthful and not misleading.
Kyttx may require you to remove or modify references to Kyttx at any time.
29Publicity Rights
Unless you notify Kyttx otherwise in writing, you allow Kyttx to use your business name, Seller name, logo, trademarks, storefront, public profile, public Seller Offering descriptions, and general usage of the Platform for marketing, promotional, customer list, case study, investor, sales, and business development purposes.
Kyttx may use aggregated or anonymized performance, transaction, and usage data for analytics, benchmarking, marketing, and product improvement, provided such use does not identify confidential information where prohibited by law.
30AI and Automated Tools
Kyttx may provide AI-assisted tools, automation tools, generated pages, generated copy, generated workflows, recommendations, analytics, templates, or other automated features.
You are responsible for reviewing and approving all AI-generated, automated, or suggested content before using or publishing it.
You must not rely on AI outputs as legal, tax, financial, investment, health, medical, regulatory, or professional advice.
You are responsible for ensuring that all AI-generated or automated content used in Seller Offerings, marketing, communications, pages, emails, SMS, communities, or workflows complies with law and does not infringe rights.
Kyttx does not guarantee that AI or automation outputs will be accurate, lawful, compliant, non-infringing, suitable, or effective.
31Subscriptions, Payment Plans, Installments, Trials, and Coupons
If you offer subscriptions, payment plans, installments, trials, coupons, discounts, custom pricing, or recurring billing, you are responsible for clearly disclosing all material terms before purchase.
This includes:
- Price.
- Billing frequency.
- Renewal terms.
- Trial length.
- Trial conversion terms.
- Cancellation process.
- Refund terms.
- Failed payment consequences.
- Access restrictions.
- Payment plan obligations.
- Installment due dates.
- Taxes.
- Any additional fees.
You must comply with all applicable laws governing subscriptions, auto-renewals, trials, cancellation, installment plans, credit, financing, consumer disclosures, and recurring payments.
Kyttx may suspend or restrict subscription, payment plan, trial, or coupon features if your use creates legal, payment, chargeback, Buyer, or platform risk.
32Taxes
You are solely responsible for determining, collecting, reporting, remitting, and complying with taxes related to your Seller Offerings, transactions, income, payouts, and business activities.
Taxes may include:
- VAT.
- Sales tax.
- Goods and services tax.
- Digital services tax.
- Withholding tax.
- Income tax.
- Corporate tax.
- Duties.
- Levies.
- Other governmental charges.
Kyttx may provide tax tools, invoices, receipts, reports, or settings, but such tools do not make Kyttx responsible for your tax obligations.
You must provide accurate tax information where requested.
Kyttx may withhold, delay, restrict, or suspend payouts if tax information is missing, incomplete, inaccurate, suspicious, or required by law or payment partner rules.
You agree to indemnify Kyttx for taxes, penalties, interest, claims, liabilities, or costs arising from your Seller Offerings, transactions, or tax obligations.
33Compliance with Laws
You must comply with all laws, rules, regulations, orders, and requirements applicable to your use of Kyttx, your Seller Offerings, your Buyers, your marketing, your payments, your communications, your taxes, and your business.
This may include laws relating to:
- Consumer protection.
- Advertising.
- Income claims.
- Subscriptions.
- Refunds.
- Privacy.
- Data protection.
- Marketing communications.
- Anti-spam.
- Telecommunications.
- Intellectual property.
- Tax.
- Sanctions.
- Export controls.
- Anti-money laundering.
- Financial services.
- Investment advice.
- Health and medical claims.
- Employment.
- Professional licensing.
- Online services.
- E-commerce.
- Payment processing.
You are responsible for obtaining all licenses, permits, approvals, registrations, and authorizations required for your Seller Offerings.
34Sanctions and Restricted Jurisdictions
You may not use Kyttx if you are located in, organized under the laws of, ordinarily resident in, or acting on behalf of a country, region, person, entity, or organization subject to sanctions, embargoes, restrictions, or prohibitions applicable to Kyttx, its payment partners, or its service providers.
You must not sell to, transact with, provide access to, or receive funds from sanctioned or restricted persons, entities, regions, or jurisdictions.
Kyttx may restrict, block, suspend, or terminate accounts, transactions, payouts, or access based on sanctions, restricted jurisdictions, payment partner rules, compliance reviews, or legal requirements.
You agree to provide information requested by Kyttx for sanctions, export control, anti-money laundering, counter-terrorist financing, fraud prevention, or compliance purposes.
35Recordkeeping
You must maintain accurate records relating to your Seller Offerings, Buyers, transactions, refunds, disputes, taxes, marketing claims, guarantees, subscriptions, consent records, and legal compliance.
You must provide records to Kyttx upon request where needed for:
- Disputes.
- Chargebacks.
- Refunds.
- Buyer complaints.
- Payment partner requirements.
- Legal compliance.
- Tax compliance.
- Investigations.
- Enforcement.
- Fraud prevention.
- Risk review.
Failure to provide requested records may result in account restrictions, payout holds, reserves, suspension, or termination.
36Platform Review and Monitoring
Kyttx may review, monitor, audit, or investigate your account, Seller Offerings, Seller Content, transactions, marketing, Buyer complaints, chargebacks, refund patterns, communication activity, and off-platform conduct related to your Seller Offerings.
Kyttx has no obligation to monitor all Seller activity and is not responsible for failing to detect unlawful, misleading, or prohibited Seller activity.
Kyttx may use automated systems, AI tools, manual review, payment partner data, Buyer reports, public information, third-party tools, or other methods to evaluate risk.
Kyttx may require changes to your account, Seller Offerings, content, refund policy, pricing, checkout, communications, or marketing before allowing continued use of the Platform.
37Account Restrictions, Suspension, and Termination
Kyttx may restrict, suspend, or terminate your Seller account, Seller Offerings, checkout, payouts, Buyer access, Operator access, communication tools, data exports, or any Platform features at any time, with or without notice, where Kyttx determines that:
- You violated this Agreement.
- You violated the Master Terms of Service.
- You violated Kyttx Policies.
- You violated payment partner rules.
- You violated law.
- You created legal, payment, chargeback, compliance, fraud, security, operational, reputational, or platform risk.
- Your Seller Offering is prohibited or restricted.
- Your claims are misleading or unsupported.
- Your refund policy is unlawful or misleading.
- Your chargeback rate is excessive.
- Your refund rate is excessive.
- Buyer complaints are excessive.
- Your account information is inaccurate or incomplete.
- You fail verification.
- You fail to provide requested information.
- You have a negative balance.
- You misuse Buyer Data.
- You misuse Platform features.
- Your Operators, affiliates, contractors, employees, or team members violate requirements.
- Third-Party Payment Providers require or recommend action.
- Kyttx is required or advised to do so by law, regulators, banks, card networks, courts, arbitrators, or service providers.
- Kyttx otherwise determines that action is necessary or appropriate.
38Effect of Termination
Upon suspension or termination, Kyttx may:
- Disable your account.
- Disable checkout.
- Disable storefronts.
- Disable hosted pages.
- Disable Buyer access.
- Disable Operator access.
- Preserve or delete Seller Content.
- Restrict data exports.
- Notify Buyers.
- Facilitate refunds.
- Delay or freeze payouts.
- Impose reserves.
- Recover negative balances.
- Cooperate with payment partners.
- Preserve records.
- Remove your branding.
- Take enforcement action.
- Pursue amounts owed.
Termination does not affect your obligations arising before termination.
You remain responsible for Fees, refunds, chargebacks, disputes, negative balances, taxes, Buyer claims, payment partner fees, indemnification obligations, confidentiality obligations, legal compliance, and dispute resolution obligations.
Kyttx is not required to continue hosting Seller Offerings after termination.
39Data Export After Termination
Kyttx may, at its discretion and where technically available and legally permitted, provide limited access to export certain data after termination.
Kyttx may deny or restrict data export where:
- Your account is under investigation.
- Export would violate law.
- Export would violate privacy obligations.
- Export would create security risk.
- Export would expose Buyer Data improperly.
- Export would violate payment partner requirements.
- You owe amounts to Kyttx.
- Your account was terminated for fraud, abuse, or unlawful activity.
- Kyttx is required to preserve records.
- Kyttx determines export is inappropriate.
You are responsible for maintaining your own backups of Seller Content and business records.
40No Guarantee of Sales or Results
Kyttx does not guarantee that you will make sales, receive traffic, gain customers, increase conversions, earn revenue, receive payouts, reduce workload, avoid disputes, avoid chargebacks, or achieve any business outcome.
Any tools, templates, AI features, analytics, automations, landing pages, checkout features, or recommendations provided by Kyttx are provided for convenience and do not guarantee results.
You are solely responsible for your business strategy, pricing, marketing, delivery, operations, and results.
41Disclaimer of Warranties
The Platform and Seller tools are provided on an ?as is? and ?as available? basis.
To the maximum extent permitted by law, Kyttx disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, uninterrupted operation, error-free operation, and suitability for your business.
Kyttx does not warrant that:
- The Platform will be uninterrupted or error-free.
- Seller tools will meet your requirements.
- Payment processing will always be available.
- Payouts will occur on a particular schedule.
- Buyers will not dispute charges.
- Buyers will not request refunds.
- Seller Offerings will be successful.
- Automations will work without issue.
- AI-generated content will be accurate or lawful.
- Data will always be available or backed up.
42Limitation of Liability
To the maximum extent permitted by law, Kyttx and its owners, directors, officers, employees, contractors, agents, affiliates, licensors, service providers, and payment partners will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages, including lost profits, lost revenue, lost business, lost opportunities, lost goodwill, lost data, reputational harm, business interruption, failed transactions, failed payouts, chargebacks, refunds, Buyer disputes, payment partner decisions, account restrictions, or cost of substitute services.
To the maximum extent permitted by law, Kyttx?s total liability for any claim arising out of or relating to this Agreement, the Platform, your Seller account, your Seller Offerings, your transactions, your payouts, your Buyers, or any dispute will not exceed the greater of:
- USD $100.
- The total platform fees actually paid to Kyttx by you during the three months immediately preceding the event giving rise to the claim.
The limitations apply regardless of legal theory and even if a remedy fails of its essential purpose.
43Seller Indemnification
You agree to defend, indemnify, and hold harmless Kyttx and its owners, directors, officers, employees, contractors, agents, affiliates, licensors, service providers, and payment partners from and against any claims, demands, disputes, losses, liabilities, damages, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- Your Seller Offerings.
- Your Seller Content.
- Your marketing claims.
- Your income claims.
- Your guarantees.
- Your testimonials.
- Your case studies.
- Your refund policy.
- Your failure to deliver.
- Your Buyer disputes.
- Your chargebacks.
- Your refunds.
- Your negative balances.
- Your Fees.
- Your taxes.
- Your payment partner fees.
- Your violation of law.
- Your violation of this Agreement.
- Your violation of Kyttx Policies.
- Your violation of payment partner rules.
- Your infringement of third-party rights.
- Your misuse of Buyer Data.
- Your privacy violations.
- Your marketing compliance failures.
- Your communications.
- Your Operators.
- Your affiliates.
- Your contractors.
- Your employees.
- Your team members.
- Your fraud, negligence, willful misconduct, or misrepresentation.
- Your prohibited or restricted activities.
- Any claim that Kyttx is responsible for your products, services, content, claims, promises, obligations, or conduct.
Kyttx may control the defense of any indemnified claim at your expense.
You may not settle any claim without Kyttx?s prior written consent if the settlement imposes obligations on Kyttx, admits fault by Kyttx, or affects Kyttx?s rights.
44Release
To the maximum extent permitted by law, you release Kyttx from claims, demands, damages, losses, liabilities, and disputes arising out of or relating to:
- Buyers.
- Operators.
- Affiliates.
- Team members.
- Third-Party Payment Providers.
- Payment partner decisions.
- Failed payments.
- Delayed payouts.
- Chargebacks.
- Refunds.
- Buyer disputes.
- Seller Offering outcomes.
- Marketplace or storefront visibility.
- Account restrictions.
- Enforcement actions.
- Third-party services.
45Confidentiality
You may receive access to non-public information relating to Kyttx, the Platform, payment systems, security systems, pricing, product plans, technical operations, Buyers, Sellers, or other Users.
You must not disclose, misuse, copy, sell, exploit, or share confidential information except as authorized by Kyttx or required by law.
You must protect confidential information using reasonable safeguards.
This obligation survives termination.
46Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to this Agreement, your Seller account, Seller Offerings, transactions, payouts, Fees, refunds, chargebacks, account restrictions, termination, or your relationship with Kyttx will be resolved according to the Arbitration & Dispute Resolution Agreement and the dispute resolution provisions in the Master Terms of Service.
Unless mandatory law requires otherwise:
- Governing law shall be the laws of the Dubai International Financial Centre.
- Arbitration shall be administered by the Dubai International Arbitration Centre.
- The seat of arbitration shall be the Dubai International Financial Centre, Dubai, United Arab Emirates.
- The language shall be English.
- The tribunal shall consist of one arbitrator.
- Disputes shall be confidential.
- Claims must be brought individually and not as class, collective, consolidated, representative, or group claims.
- The prevailing party may recover costs and legal fees where permitted.
Before commencing arbitration, the party raising the dispute must provide written notice and allow 30 days for informal resolution.
Kyttx may seek urgent court relief for intellectual property misuse, fraud, security threats, platform abuse, confidentiality breaches, non-payment, chargebacks, data misuse, sanctions issues, illegal activity, or other urgent harm.
47Modifications
Kyttx may modify this Agreement from time to time.
Kyttx may provide notice by posting an updated version, updating the ?Last Updated? date, sending email notice, displaying in-app notice, or using another reasonable method.
Changes are effective when posted or when otherwise stated.
Your continued use of the Platform as a Seller after changes become effective constitutes acceptance of the updated Agreement.
Kyttx may make immediate changes where required or appropriate due to legal requirements, payment partner requirements, security issues, fraud risk, compliance issues, operational changes, or urgent platform needs.
48Assignment
You may not assign, transfer, delegate, or sublicense your rights or obligations under this Agreement without Kyttx?s prior written consent.
Kyttx may assign, transfer, delegate, license, or sublicense its rights and obligations under this Agreement without your consent, including in connection with incorporation, reorganization, merger, acquisition, asset sale, financing, restructuring, change of control, transfer to a Dubai or UAE entity, transfer to a DIFC entity, or operation through another legal entity.
49Survival
Any provisions that by their nature should survive termination will survive, including provisions relating to Fees, payments, refunds, chargebacks, reserves, offsets, taxes, ownership, licenses, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, arbitration, data retention, enforcement, and compliance.
