Buyer / Member Terms

01Introduction

These Buyer / Member Terms govern your access to and use of Kyttx as a Buyer, Customer, Member, subscriber, purchaser, client, participant, student, community member, or other person or entity that purchases, accesses, subscribes to, joins, receives, or uses any product, service, course, cohort, coaching program, consulting service, community, membership, subscription, digital download, software access, event, call, mastermind, done-for-you service, agency service, or other offering made available by a Seller through or in connection with the Kyttx Platform.

These Buyer Terms are incorporated into and form part of the Kyttx Master Terms of Service.

By purchasing, subscribing to, accessing, joining, receiving, downloading, using, or participating in any Seller Offering through or in connection with Kyttx, you agree to these Buyer Terms, the Kyttx Master Terms of Service, and all applicable Kyttx Policies.

If you do not agree to these Buyer Terms, you must not purchase, access, or use any Seller Offering through or in connection with Kyttx.

02Relationship to Other Terms

These Buyer Terms apply in addition to the Kyttx Master Terms of Service.

You may also be subject to:

• The Seller?s own terms, policies, contracts, refund policy, community rules, program terms, service agreement, or other conditions.
• The Kyttx Refund, Chargeback & Dispute Policy.
• The Kyttx Acceptable Use Policy.
• The Kyttx Content & Intellectual Property Policy.
• The Kyttx Privacy Policy.
• The Kyttx Cookie Policy.
• The Kyttx Arbitration & Dispute Resolution Agreement.
• Any applicable payment provider terms.
• Any additional terms shown at checkout, on a Seller page, inside a Seller Offering, or otherwise made available to you.

If there is a conflict between these Buyer Terms and the Kyttx Master Terms of Service, these Buyer Terms control for Buyer-specific matters unless expressly stated otherwise.

If there is a conflict between a Seller?s terms and Kyttx?s terms, Kyttx?s terms control for your access to and use of the Kyttx Platform.

03Definitions

Capitalized terms used but not defined in these Buyer Terms have the meanings given in the Kyttx Master Terms of Service.

For purposes of these Buyer Terms:

?Buyer,? ?Customer,? or ?Member? means any person or entity that purchases, accesses, subscribes to, joins, receives, or uses a Seller Offering through or in connection with Kyttx.

?Seller? means the person or entity that creates, offers, sells, hosts, manages, or delivers a Seller Offering.

?Seller Offering? means any product, service, coaching program, consulting service, cohort, course, community, membership, subscription, digital download, file, template, software access, call, event, mastermind, done-for-you service, agency service, or other item made available by or on behalf of a Seller.

?Seller Content? means any content, materials, files, videos, images, text, documents, downloads, course materials, community posts, templates, pages, communications, or other materials made available by or on behalf of a Seller.

?Platform? means the Kyttx website, software, tools, dashboards, applications, hosted pages, checkout-related tools, payment-related features, communities, course hosting, file hosting, access management, and any other services made available by Kyttx.

04Kyttx?s Role

Kyttx provides software infrastructure and platform tools that allow Sellers to create, manage, host, sell, and deliver Seller Offerings.

Unless Kyttx expressly states otherwise in writing, Kyttx is not the Seller, provider, creator, owner, employer, contractor, agent, representative, broker, fiduciary, guarantor, financial advisor, legal advisor, tax advisor, investment advisor, health provider, or professional advisor of any Seller or Seller Offering.

Unless expressly stated otherwise, your purchase or access relationship is with the Seller, not Kyttx.

Kyttx may provide tools for checkout, access control, hosting, content delivery, communications, community access, subscriptions, payment-related workflows, and account management. Providing these tools does not make Kyttx responsible for the Seller Offering.

Kyttx does not guarantee, endorse, verify, certify, sponsor, or assume responsibility for any Seller Offering unless Kyttx expressly states otherwise in writing.

05Seller Responsibility

Sellers are responsible for their Seller Offerings.

This includes responsibility for:

• Product or service descriptions.
• Pricing.
• Billing terms.
• Subscription terms.
• Cancellation terms.
• Refund policies.
• Guarantees.
• Delivery.
• Support.
• Quality.
• Availability.
• Claims.
• Outcomes.
• Compliance with law.
• Community rules.
• Content accuracy.
• Representations made in marketing or sales materials.
• Communications with Buyers.
• Off-platform promises.
• Disputes relating to Seller Offerings.

You should carefully review the Seller Offering, checkout page, Seller terms, refund policy, cancellation terms, and any other applicable terms before purchasing.

06Eligibility

You must be at least 18 years old to purchase, access, or use Seller Offerings through Kyttx.

By using Kyttx as a Buyer, you represent and warrant that:

• You are at least 18 years old.
• You have legal capacity to enter into these Buyer Terms.
• All information you provide is accurate, complete, current, and not misleading.
• You will comply with all applicable laws.
• You will comply with these Buyer Terms and Kyttx Policies.
• You will not use Kyttx for unlawful, abusive, fraudulent, or prohibited purposes.
• You are not located in, organized under the laws of, ordinarily resident in, or acting on behalf of a sanctioned or restricted country, region, person, or entity.

Kyttx may restrict, suspend, or terminate your access if Kyttx determines that you are ineligible or create legal, payment, fraud, chargeback, security, sanctions, compliance, or platform risk.

07Buyer Account

You may need to create an account to access Seller Offerings.

You are responsible for:

• Providing accurate account information.
• Keeping account information updated.
• Protecting your login credentials.
• Preventing unauthorized access.
• All activity under your account.
• Notifying Kyttx of unauthorized access or suspected compromise.

You must not share your account credentials with anyone else unless expressly permitted by the Seller and Kyttx.

Kyttx may suspend, restrict, or terminate Buyer accounts for violations of these Buyer Terms, Seller rules, payment failures, chargebacks, abuse, fraud, security concerns, or other risk.

08Purchases

When you purchase a Seller Offering, you are responsible for reviewing all material terms before completing the transaction.

These may include:

• The Seller?s identity.
• What is included.
• What is excluded.
• Price.
• Taxes.
• Fees.
• Payment schedule.
• Subscription terms.
• Payment plan terms.
• Installment obligations.
• Cancellation terms.
• Refund terms.
• Trial terms.
• Access limits.
• Delivery timelines.
• Community rules.
• Requirements for participation.
• Any additional Seller terms.

By completing a purchase, you authorize the applicable payment provider to charge your selected payment method for the applicable amounts.

You agree not to make purchases using unauthorized payment methods, stolen payment information, false identities, misleading information, or payment methods you are not permitted to use.

09Payment Processing

Payments may be processed by Third-Party Payment Providers, including Stripe, Stripe Connect, card networks, banks, payment processors, payout providers, and related financial infrastructure providers.

Kyttx is not a bank, payment processor, money transmitter, escrow provider, trustee, fiduciary, or financial institution.

Payment approval, authorization, settlement, refunds, chargebacks, payment method availability, currency conversion, and related payment services may be handled by Third-Party Payment Providers.

Kyttx does not guarantee that any payment method will be accepted, that any payment will be processed, or that any transaction will be completed.

You agree to comply with applicable payment provider terms.

10Subscriptions, Payment Plans, Installments, and Trials

Some Seller Offerings may be sold as subscriptions, payment plans, installments, recurring payments, trials, or other billing arrangements.

Before purchasing, you are responsible for reviewing the applicable billing terms.

If you purchase a subscription, trial, payment plan, installment plan, or recurring billing product, you authorize recurring or scheduled charges according to the terms disclosed at checkout or by the Seller.

You remain responsible for all amounts you agree to pay, including future installments, subscription renewals, failed payment amounts, taxes, and any applicable fees, unless cancellation or refund rights apply under the Seller?s terms or mandatory law.

Canceling access does not automatically cancel amounts already owed under a payment plan unless the Seller?s terms or applicable law provide otherwise.

Kyttx may suspend or revoke access to Seller Offerings if payments fail, are reversed, are disputed, are charged back, or remain unpaid.

11Coupons, Discounts, and Custom Pricing

Sellers may offer coupons, discounts, promotional pricing, custom pricing, or special access terms.

Such offers may be subject to additional conditions, expiration dates, eligibility rules, or limitations.

Kyttx is not responsible for a Seller?s failure to honor a coupon, discount, promotion, or custom arrangement unless Kyttx expressly states otherwise in writing.

12Refunds

Refunds are generally controlled by the Seller?s refund policy, unless otherwise required by applicable law or Kyttx determines that intervention is necessary.

Before purchasing, you should review the Seller?s refund policy carefully.

Kyttx is not generally responsible for issuing refunds for Seller Offerings. However, Kyttx may, at its discretion, facilitate, require, process, or assist with a refund where Kyttx determines that:

• The Seller violated Kyttx Policies.
• The Seller Offering was illegal, fraudulent, misleading, or prohibited.
• You were charged incorrectly.
• The transaction was unauthorized.
• The Seller failed to deliver the Seller Offering.
• The Seller?s refund policy was unclear, unlawful, or misleading.
• A payment provider, bank, card network, regulator, court, arbitrator, or legal authority requires action.
• Action is necessary to reduce fraud, payment, chargeback, legal, or platform risk.

Kyttx?s decision to assist with one refund does not obligate Kyttx to assist with other refunds.

13Chargebacks and Payment Disputes

You should contact the Seller first about refund or delivery issues before filing a chargeback or payment dispute, unless you reasonably believe the transaction was unauthorized, fraudulent, or unlawful.

You must not file false, abusive, misleading, or bad-faith chargebacks or payment disputes.

You must not use chargebacks to avoid valid payment obligations after receiving access to a Seller Offering.

If you file a chargeback, payment dispute, or payment reversal, Kyttx or the Seller may suspend, revoke, or terminate your access to the relevant Seller Offering and related Platform features.

Kyttx and Sellers may submit evidence to payment providers, banks, or card networks in response to chargebacks or payment disputes, including checkout records, access records, communications, terms accepted, refund policies, usage logs, and delivery evidence.

14Access to Seller Offerings

Access to Seller Offerings may be provided through the Platform.

Your access may depend on:

• Successful payment.
• Active subscription status.
• Completion of onboarding steps.
• Seller approval.
• Availability of the Seller Offering.
• Compliance with these Buyer Terms.
• Compliance with Seller rules.
• Absence of chargebacks or payment disputes.
• Account status.
• Technical availability.

Kyttx does not guarantee that any Seller Offering will remain available forever.

Access may be modified, suspended, or terminated due to payment failure, refund, chargeback, Seller instruction, account termination, Platform changes, legal risk, security risk, or policy violations.

15Seller Content

Seller Content is provided by Sellers, not Kyttx, unless Kyttx expressly states otherwise.

Kyttx is not responsible for the accuracy, usefulness, legality, quality, safety, availability, or suitability of Seller Content.

You may access Seller Content only for your own permitted use under the applicable Seller terms and Kyttx Policies.

Unless expressly permitted, you must not:

• Copy Seller Content.
• Resell Seller Content.
• Redistribute Seller Content.
• Leak Seller Content.
• Share Seller Content publicly.
• Upload Seller Content elsewhere.
• Use Seller Content to create competing products.
• Share login access.
• Bypass access restrictions.
• Scrape, download, or extract Seller Content using unauthorized tools.
• Remove copyright, trademark, or proprietary notices.

Violating this section may result in account termination, loss of access, legal claims by the Seller, legal claims by Kyttx, or other enforcement action.

16Communities, Calls, Events, and Participation

Some Seller Offerings may include communities, calls, events, coaching sessions, live cohorts, group programs, masterminds, comments, chat, or other interactive features.

You must participate respectfully, lawfully, and in compliance with the Seller?s rules and Kyttx Policies.

You must not:

• Harass, threaten, abuse, or intimidate others.
• Post unlawful, hateful, explicit, or abusive content.
• Spam.
• Impersonate others.
• Share confidential information without permission.
• Record calls or sessions without legal authority and permission where required.
• Disrupt communities, calls, or events.
• Promote unrelated products or services without permission.
• Misuse other members? information.
• Violate privacy or intellectual property rights.

Kyttx and Sellers may remove content, restrict participation, or terminate access for violations.

17No Guarantee of Results

Kyttx does not guarantee any result from any Seller Offering.

This includes no guarantee of:

• Income.
• Revenue.
• Profit.
• Sales.
• Business growth.
• Clients.
• Leads.
• Fitness results.
• Health results.
• Appearance results.
• Personal transformation.
• Educational results.
• Professional outcomes.
• Investment results.
• Financial results.
• Employment results.
• Customer acquisition.
• Any specific outcome.

Any claims, testimonials, case studies, examples, projections, guarantees, or promises made by a Seller are the Seller?s responsibility.

You are responsible for evaluating whether a Seller Offering is appropriate for you.

18Professional, Financial, Legal, Tax, Health, and Investment Disclaimers

Seller Offerings may include educational, business, coaching, consulting, wellness, fitness, appearance, financial, crypto, trading, legal, tax, or other content.

Unless expressly stated by a qualified provider and permitted by law, Seller Offerings should not be treated as professional advice.

Kyttx does not provide legal, tax, financial, investment, medical, health, therapeutic, psychological, or professional advice.

You should consult qualified professionals before relying on information that may affect your legal, financial, tax, health, medical, investment, or professional decisions.

Kyttx is not responsible for decisions you make based on Seller Offerings.

19Buyer Content and Submissions

You may be able to submit content, comments, messages, form responses, assignments, files, posts, testimonials, reviews, questions, feedback, or other materials through the Platform.

You represent and warrant that your submissions:

• Are accurate where presented as factual.
• Are lawful.
• Do not infringe third-party rights.
• Do not contain malware or harmful code.
• Do not violate privacy rights.
• Do not violate Kyttx Policies.
• Are not abusive, defamatory, harassing, threatening, or misleading.

You grant Kyttx a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, process, transmit, display, reproduce, modify, and use your submissions as necessary to operate the Platform, provide access to Seller Offerings, enforce policies, prevent fraud, provide support, and comply with law.

You may also grant rights to the applicable Seller under the Seller?s terms.

20Reviews, Testimonials, and Feedback

If you provide a review, testimonial, rating, comment, or feedback, you must ensure it is truthful, accurate, based on your real experience, and not misleading.

You must disclose any compensation, incentive, discount, affiliate relationship, or material connection where required by law.

Kyttx may remove or restrict reviews, testimonials, or feedback that Kyttx determines are false, misleading, abusive, unlawful, incentivized without proper disclosure, irrelevant, spam, or otherwise inappropriate.

If you provide feedback to Kyttx about the Platform, you grant Kyttx a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, modify, commercialize, incorporate, develop, publish, and exploit such feedback without restriction or compensation.

21Prohibited Buyer Conduct

You must not:

• Use the Platform unlawfully.
• Provide false information.
• Impersonate another person.
• Use stolen payment information.
• Make unauthorized purchases.
• File false chargebacks.
• Abuse refunds.
• Harass Sellers, Buyers, Operators, or Kyttx staff.
• Threaten legal or reputational harm in bad faith.
• Scrape, copy, leak, resell, or redistribute Seller Content.
• Share login credentials.
• Bypass access controls.
• Interfere with Platform security.
• Upload malware.
• Spam.
• Misuse communication tools.
• Violate intellectual property rights.
• Violate privacy rights.
• Attempt to access accounts or content without authorization.
• Exploit bugs or vulnerabilities.
• Use the Platform for sanctions-restricted activity.
• Use the Platform to commit fraud.
• Violate Kyttx Policies.
• Assist others in doing any of the above.

Kyttx may suspend, restrict, or terminate your account or access for prohibited conduct.

22Privacy

Kyttx processes personal data as described in the Privacy Policy and Cookie Policy.

Sellers may also process your personal data in connection with Seller Offerings. Sellers are responsible for their own privacy practices, privacy notices, communications, and use of Buyer Data, except where Kyttx expressly assumes responsibility under applicable law or written agreement.

You should review both Kyttx?s Privacy Policy and any applicable Seller privacy terms.

23Third-Party Services

Seller Offerings or the Platform may involve third-party services, including payment providers, video tools, community tools, calendar tools, communication tools, analytics tools, file tools, or other services.

Kyttx is not responsible for third-party services, third-party terms, third-party outages, third-party data practices, third-party decisions, or third-party failures.

Your use of third-party services may be subject to separate terms.

24Platform Changes and Availability

Kyttx may add, remove, modify, replace, suspend, or discontinue any Platform feature at any time.

Kyttx does not guarantee that the Platform or any Seller Offering will be uninterrupted, error-free, secure, available, compatible, or accessible at all times.

Kyttx is not liable for downtime, delays, failed payments, failed access, lost data, unavailable content, or interruptions except to the extent liability cannot be excluded by law.

25Suspension and Termination

Kyttx may suspend, restrict, revoke, or terminate your account, Buyer access, Seller Offering access, community access, download access, or use of the Platform at any time where Kyttx determines that:

• You violated these Buyer Terms.
• You violated the Master Terms of Service.
• You violated Kyttx Policies.
• You violated Seller rules.
• Your payment failed.
• You requested a refund.
• You received a refund.
• You filed a chargeback.
• You filed a payment dispute.
• You engaged in fraud.
• You abused refund or dispute processes.
• You shared login credentials.
• You copied, leaked, or redistributed content.
• You harassed others.
• You created legal, payment, security, fraud, chargeback, compliance, or platform risk.
• A Seller requested removal.
• A payment provider required or recommended action.
• Kyttx is required or advised to act by law, regulators, banks, card networks, courts, arbitrators, or service providers.
• Kyttx otherwise determines that action is necessary or appropriate.

Termination or suspension may result in loss of access to Seller Offerings, content, communities, downloads, subscriptions, or accounts.

26Effect of Refunds, Chargebacks, and Payment Failures

If you receive a refund, file a chargeback, dispute a payment, fail to pay, cancel a payment method, or reverse a transaction, Kyttx or the Seller may suspend, revoke, or terminate your access to the relevant Seller Offering.

You may lose access to:

• Courses.
• Cohorts.
• Communities.
• Downloads.
• Files.
• Calls.
• Events.
• Software access.
• Memberships.
• Subscriptions.
• Bonuses.
• Related content.

Loss of access after refund, chargeback, payment failure, or cancellation does not create liability for Kyttx.

27Disclaimer of Warranties

The Platform and Seller Offerings are provided on an ?as is? and ?as available? basis.

To the maximum extent permitted by law, Kyttx disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, uninterrupted operation, error-free operation, and suitability.

Kyttx does not warrant or guarantee that:

• Any Seller Offering will meet your expectations.
• Any Seller Offering will be accurate, lawful, safe, or useful.
• Any Seller will fulfill promises.
• Any Seller will provide support.
• Any Seller will honor a refund policy.
• Any payment will process successfully.
• Any access will remain available.
• The Platform will be uninterrupted or error-free.
• Any result will occur.

Some jurisdictions do not allow certain disclaimers. In those cases, disclaimers apply to the maximum extent permitted by law.

28Limitation of Liability

To the maximum extent permitted by law, Kyttx and its owners, directors, officers, employees, contractors, agents, affiliates, licensors, service providers, and payment partners will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages, including lost profits, lost revenue, lost opportunities, lost data, reputational harm, business interruption, failed transactions, failed access, unavailable content, Seller misconduct, Buyer disputes, chargebacks, refunds, or cost of substitute services.

To the maximum extent permitted by law, Kyttx?s total liability for any claim arising out of or relating to these Buyer Terms, the Platform, your account, your purchase, your access to a Seller Offering, any Seller Offering, any Seller, any transaction, or any dispute will not exceed the greater of:

• USD $100.
• The total platform fees actually paid to Kyttx by you during the three months immediately preceding the event giving rise to the claim.

If you did not directly pay platform fees to Kyttx, Kyttx?s total liability will not exceed USD $100, to the maximum extent permitted by law.

Some jurisdictions do not allow certain limitations of liability. In those cases, liability is limited to the maximum extent permitted by law.

29Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Kyttx and its owners, directors, officers, employees, contractors, agents, affiliates, licensors, service providers, and payment partners from and against any claims, demands, disputes, losses, liabilities, damages, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to:

• Your use of the Platform.
• Your violation of these Buyer Terms.
• Your violation of Kyttx Policies.
• Your violation of Seller rules.
• Your misuse of Seller Content.
• Your infringement of intellectual property rights.
• Your violation of privacy rights.
• Your unlawful conduct.
• Your fraudulent conduct.
• Your abusive chargebacks.
• Your payment disputes.
• Your false information.
• Your submissions.
• Your communications.
• Your harassment or abuse of others.
• Your breach of applicable law.

Kyttx may control the defense of any indemnified claim at your expense.

You may not settle any claim without Kyttx?s prior written consent if the settlement imposes obligations on Kyttx, admits fault by Kyttx, or affects Kyttx?s rights.

30Release

To the maximum extent permitted by law, you release Kyttx from claims, demands, damages, losses, liabilities, and disputes arising out of or relating to:

• Seller Offerings.
• Seller Content.
• Seller conduct.
• Seller promises.
• Seller marketing claims.
• Seller refunds.
• Seller failure to deliver.
• Buyer-Seller disputes.
• Operator conduct.
• Third-party payment providers.
• Payment disputes.
• Chargebacks.
• Unavailable content.
• Access termination.
• Third-party services.
• Outcomes or lack of outcomes from Seller Offerings.

31Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Buyer Terms, the Platform, your account, your purchase, your access to Seller Offerings, any transaction, any refund, any chargeback, any Seller dispute, or your relationship with Kyttx will be resolved according to the Arbitration & Dispute Resolution Agreement and the dispute resolution provisions in the Kyttx Master Terms of Service.

Unless mandatory law requires otherwise:

• Governing law shall be the laws of the Dubai International Financial Centre.
• Arbitration shall be administered by the Dubai International Arbitration Centre.
• The seat of arbitration shall be the Dubai International Financial Centre, Dubai, United Arab Emirates.
• The language shall be English.
• The tribunal shall consist of one arbitrator.
• Disputes shall be confidential.
• Claims must be brought individually and not as class, collective, consolidated, representative, or group claims.
• The prevailing party may recover costs and legal fees where permitted.

Before commencing arbitration, the party raising the dispute must provide written notice and allow 30 days for informal resolution.

Kyttx may seek urgent court relief for intellectual property misuse, fraud, security threats, platform abuse, confidentiality breaches, non-payment, chargebacks, data misuse, sanctions issues, illegal activity, or other urgent harm.

Some Buyers may have mandatory legal rights that cannot be waived. In such cases, this section applies to the maximum extent permitted by law.

32Modifications

Kyttx may modify these Buyer Terms from time to time.

Kyttx may provide notice by posting an updated version, updating the ?Last Updated? date, sending email notice, displaying in-app notice, or using another reasonable method.

Changes are effective when posted or when otherwise stated.

Your continued use of the Platform or access to Seller Offerings after changes become effective constitutes acceptance of the updated Buyer Terms.

Kyttx may make immediate changes where required or appropriate due to legal requirements, payment partner requirements, security issues, fraud risk, compliance issues, operational changes, or urgent platform needs.

33Assignment

You may not assign, transfer, delegate, or sublicense your rights or obligations under these Buyer Terms without Kyttx?s prior written consent.

Kyttx may assign, transfer, delegate, license, or sublicense its rights and obligations under these Buyer Terms without your consent, including in connection with incorporation, reorganization, merger, acquisition, asset sale, financing, restructuring, change of control, transfer to a Dubai or UAE entity, transfer to a DIFC entity, or operation through another legal entity.

34Survival

Any provisions that by their nature should survive termination will survive, including provisions relating to payments, refunds, chargebacks, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, arbitration, data retention, enforcement, and compliance.
